Drafted and implemented purchase compliance policies and procedures, ensuring financial controls and regulatory compliance across procurement activities.

●Oversaw financial review, approval processes, and compliance for $72M in vendor expenditures, reporting directly to CFO, CAO, and executive leadership.

Chief Corporate Counsel and Corporate Secretary

First in-house counsel for MoSys, a public company. Directed all company legal activities, including compliance and governance. Negotiated, drafted, and administered all intellectual property, license, technology, sales, distribution, business development, non-disclosure, customer, partner, foundry and vendor agreements; managed all aspects of patent and trademark portfolio; advised on legal strategy and day-to-day legal business matters; managed IP protection and litigation.

●Corporate Secretary attended board meetings, prepared minutes, presented risk reports and otherwise ensured compliance and corporate governance requirements.

●Developed legal strategies and worked with executives to further business objectives including organizational structure, merger and acquisition activities, and business analysis and development.
