Material Background Check

In exchange for Under Armour's (hereinafter “the Company”) consideration of this employment

application, I agree and certify that:

1. All the information provided on this application and on any resume submitted to the Company is true and complete. I understand that if this application or any resume or other information submitted in writing or orally with this application is falsified in any manner or if they contain any material omissions or any misrepresentations, I will not be considered for employment, any offer of employment already made could be withdrawn and, if hired, my employment may be terminated immediately without notice or pay in lieu of notice, for just cause, regardless of the date of discovery by the Company. 2. I understand that if I am offered employment by the Company, such offer shall be conditional upon, (i) my completing a background check and obtaining results which are deemed to be satisfactory in the sole discretion of the Company; (ii) my signing an employment agreement relating to the terms and condition of employment which shall govern our relationship; (iii) my providing my Social Insurance Number, and proof of eligibility to work in Canada, after receipt of a conditional offer of employment; and (iv) my providing any required academic or occupational certificates, licenses or other reasonably requested documentation. 3. I agree to conform to the Company's rules and regulations, as modified from time to time by the Company at its sole discretion. If employed, I agree that unless modified by the separate employment agreement, (i) the Company may terminate my employment for cause without notice or without cause with notice in accordance with minimum requirements prescribed by the applicable employment standards legislation ("ESA"), together with any other statutorily prescribed payment and that on such termination I will have no further claim or entitlement, including any entitlement to common law reasonable notice; and (ii) I can resign from my employment by the providing to the Company notice equal to the lesser of (a) the same notice the Company would be required to provide to me on termination in accordance with 3(i) above; or (b) 2 weeks.<p>

4. If employed, I understand and agree that the terms and conditions of my employment may be changed, at any time, and if the change is material, the Company will provide to me written notice of the material change(s) equal to the same notice I would be entitled to on termination of employment pursuant to the minimum requirements under ESA. I also understand that the Company may unilaterally change or revise its benefits, policies, and practices at its sole discretion.

I authorize investigation of all statements contained in this application and any resume submitted to the Company. I hereby give the Company permission to contact schools, previous employers (unless otherwise indicated), references, and others for a complete account of their experience with me. I authorize said schools, employees, references, and others to provide information and opinions about me to the Company. I hereby release the Company and said schools, employers, references, and others from any liability as a result of such contact. I understand that this application for employment shall remain valid for 30 days only. If I desire employment with the Company after this 30-day period, I shall fill out a new application. I also agree to update this application before any offer is made so that, at the time of any offer of employment, the Company is assured that it contains complete and accurate information.
