INDEPENDENT TUTOR AGREEMENT

This Agreement is entered into this day of, 20 by and between Club Z! Inc. located at 17425 Bridge Hill Court Suite 200, Tampa FL 33647 (hereinafter “Club Z!”) and (tutor) (hereinafter “Contractor”, “you”, or “your”).

In consideration of the mutual terms, conditions and covenants set forth herein, CLUB Z! and Contractor hereby agree as follows:

1. Services

CLUB Z! hereby engages Contractor to perform tutoring services for clients of CLUB Z!

2. Assignments

During the term of this Agreement, CLUB Z! will place your name on its list of individuals and entities that are interested in providing tutoring services on behalf of CLUB Z!.

From time to time as opportunities arise, CLUB Z! may offer you tutoring assignments. You are not under any obligation to accept any assignment offered, but you will be expected to perform any assignment that you do accept in a timely and professional manner and to use your best efforts in performing the assignment.

3. Terms of Payment

Your compensation shall be . Checks will be issued the 1st and 15th of each month (or the next business day following these dates, if falls on a weekend or holiday). You shall submit an invoice for payment Club Z! Inc.via email to *******@*************.*** in accordance with the Payroll Deadlines sheet. If you fail to provide invoice before the deadline, you will receive your payment in the following pay period.

4. Independent Contractor Status

This Agreement is not an employment agreement. In furnishing services, Contractor will be at all times acting as an independent contractor of CLUB Z! and nothing contained in this Agreement shall be deemed or interpreted to render Contractor a joint venturer, partner, agent or employee of CLUB Z!.

5. Freedom to Provide Services Elsewhere

You are not restricted from providing services on behalf of other tutoring companies and/or offering tutoring and educational services to individuals who are not clients and/or students previously serviced through CLUB Z!

6. Good Health

You represent that you are in good health and free from communicable diseases. If at any time, the state of your health could harm the health of CLUB Z! clients, you must report such change to CLUB Z! immediately.

7 Background Representations and Verification

You represent that you have never been convicted of any crime and specifically that you have never been convicted of any sex-related or child abuse related offenses. You understand and agree that CLUB Z! will investigate your background, including your criminal background, and you have completed and signed a Disclosure and Release Form authorizing same, a copy of which is attached hereto as Exhibit B. In addition, I release and discharge Club Z! Inc. and Club Z! Test Services and all of its agents and associates, any expenses, losses, damages, liabilities, or any other charges or complaints for the investigative process.

8. No Reimbursement of Expenses

CLUB Z! shall not be liable to you for any expenses paid or incurred by you unless otherwise agreed in writing.

9. Notice to Contractor Regarding Tax Duties And Liabilities

Contractor understands that no federal, state or local income taxes or payroll taxes of any kind shall be withheld or paid by CLUB Z! on behalf of Contractor or any employees of Contractor. Contractor agrees to pay all withholding and other taxes required by law to be paid as and when the same become due and payable.

10. Non-Solicitation Covenant/Liquidated Damages

You agree not to solicit, divert or attempt to divert, directly or indirectly, any business, business opportunity or client and/or student of CLUB Z! to yourself or any competitor of CLUB Z! during the term of this Agreement and for one (1) year from the date you last render any services on behalf of CLUB Z!. If you do, you will be responsible for liquidated damages of two thousand five hundred dollars ($2,500.00) per client or student involved. This obligation shall survive the termination or expiration of this Agreement.

11. Termination/Notice

CLUB Z!/ Z PREP! or Contractor may terminate this Agreement at any time by providing thirty (30) days written notice to the other party. In addition, CLUB Z! may also terminate this Agreement immediately upon notification that a client is unsatisfied with Contractor.

12. Indemnification

You agree to indemnify and hold Club Z! harmless from and against any and all losses, liabilities, damages, expenses, claims, and/or causes of action arising out of or relating to your performance of services under this Agreement and/or from your failure to abide by any federal, state, or local law relating to your services.

13. Governing Law

This agreement is governed by the laws of the State of Florida as if the agreement was executed and wholly performed therein.

14. Entire Agreement

This agreement and its exhibits constitute the entire agreement of the parties and may be modified only in writing signed by both parties.

Disclosure and Release Form

As part of the prospective hire process for __Club Z! Inc. ., I understand that they and/or its agents may conduct an investigation of my personal information. The investigation might include, but is not limited to names and dates of previous/current employment, work experience, workers' compensation claims, criminal history records (from state, federal and other agencies), motor vehicle records, military records, names and dates of education, credit history, and bankruptcy records. I understand that these records may be used for my eligibility. I authorize without reservation the full release of these records and for Verity Screening Solutions and/or its agents contacted by Verity Screening Solutions to obtain information.

In addition, I release and discharge Verity Screening Solutions, _Club Z! Inc., and all of its agents and associates, any expenses, losses, damages, liabilities, or any other charges or complaints for the investigative process. I also authorize the full release of the information described above, without any reservation, throughout any duration of my relationship with _Club Z! Inc. . I also certify that all information provided is correct on the profile to the best of my knowledge.
