Saudi Binladen Group – SBG – Jeddah, KSA

May 2016 – May 2020 Group Chief Financial Officer – (CFO):

• Saudi Binladen Group was one of the largest family owned companies in the Kingdom of Saudi Arabia. I had joined with a team of 5 senior C-level executives to recognize and restructure the contracting and other business units. We conducted a strategic operational and financial review of all business units and have put in place a strategy to exit numerous and underperforming businesses, and to exit or consolidate business streams which will result in a more focused, efficient, profitable company in the future. We conducted Organizational Assessment Review Program (OARP) which involves the cleanup of over 450 companies, and over 150 ongoing projects. In addition, we are establishing minimum financial and commercial criteria for accepting new projects, developing and implementing Monthly Operational Reviews, Construction Project Reviews, and significantly improved reporting on the performance of the business. August 2015 – April 2016 Group Chief Financial Officer – (CFO):

• Drake and Scull was one of the leading Construction and Engineering contractors in the UAE. Drake and Scull was listed on the DFM and operated in 19 countries. In my time with Drake and Scull, I conducted a strategic financial review of all business units, and had put in place a strategy to exit several underperforming Markets, and to exit several business streams, which will result in a more profitable company in the future. In addition, I have participated in an Organizational Assessment Review Program (OARP) which involved the review and proper clean-up of over 200 projects, resulting in the provisioning of over AED 951M loss in Q-3 2015. In addition, I have led the effort to establishing minimum financial and commercial criteria for accepting new projects, developed and implemented Monthly Operational Reviews, Project Reviews, and significantly improved management reporting on the performance of the business. AL JABER GROUP – ABU DHABI, UAE

January 2014 – April 2015 Group Chief Financial Officer – (CFO):

• Al Jaber is a leading regional construction and trading conglomerate owned and operated by a prominent UAE family. In my time with Al Jaber, I had successfully concluded one of the longest running debt restructurings in the history of the UAE. Additionally, I have restructured, re-staffed, and upgraded the entire financial function. I was the key driver in implementing new corporate governance practices and had led a refinancing initiative to refinance the group’s entire debt to allow it to completely exit the restructuring. I worked very closely with the shareholders to separate family owned interests from the corporate group to allow for a separate family office to manage the family’s passive income investments and non-group businesses function.

TRANSMED HOLDING – BEIRUT, LEBANON

July 2012 – May 2013 Group Chief Financial Officer – (CFO):

• Transmed is a leading FMCG Distributor operating in the Middle east and Africa covering 21 countries for (P&G) Proctor and Gamble, Kraft, Mars, Clorox, and other global brands. 2012 revenues are expected to reach $1 Billion USD. Additionally, Transmed is the Coca Cola bottler and a has manufacturing operations producing Juice, Water, and Ice cream in Lebanon, and exporting to its other markets. I assisted the newly appointed second-generation CEO to upgrade the senior management team and company practices to effectively manage his growing business.

HEC HOLDING – KUWAIT CITY, KUWAIT

May 2010–May 2012 Chief Executive Officer – (CEO):

• Hail Economic City Holding Company is a wholly owned subsidiary of the Kharafi Group and is the Master Developer of Prince Abdul Aziz Bin Mousaed Economic City (PABMEC) in the Kingdom of Saudi Arabia, with an authorized capital of 5 Billion Saudi Riyals. PABMEC is the second largest of the four economic cities announced in the Kingdom of Saudi Arabia with an area covering 156 square kilometers.

• The Economic cities have been given by Royal Decree a unique set of Economic incentives for investors to increase foreign investment, promote new economic activity, and create new jobs and lifestyle communities.

• We had completed the city Master Plan and Business Plan and were in the process of raising funding. The project has been put on hold until capital markets recover. ZAIN GROUP – KUWAIT CITY, KUWAIT

August 2003– March 2010 Group Chief Financial Officer – (CFO):

• I was the key person representing the Zain Shareholders in the negotiation of the sale of Zain Africa to Bharti Telecom in March of 2010 and achieving the record- breaking financial valuation of $10.7 billion, and a $4 billion gain on the sale.

• ZAIN was the fastest growing and largest mobile operators in the Middle East and Africa, providing GSM mobile services in 23 countries across the region.

• ZAIN is publicly traded on the Kuwait Stock Exchange (ZAIN) and is the largest and most profitable publicly traded companies in Kuwait with a peak market capitalization of $33.9 Billion in September 2008.

• Responsible for the financial management of the Group Operations which includes overseeing all financial and operational activities of the operating companies. Zain results for 2009 are 72.5 million Subscribers, with revenues of $8.1 Billion USD. Zain was the leading operator in 15 of the 23 markets we operated in. We had over 15,700 employees across our operations operating under a single brand.

• I had been a key contributor in the rapid expansion and growth of the company over the 7 years I was Group CFO, taking it from one operation in Kuwait in 2003 to operations in 23 countries by 2009. During my 7-year tenor the market value of the company had increased over 12 times from $2.8 Billion in 2003 to over $33.9 Billion in 2008.

MOTOROLA INC. – DUBAI – UAE

January 2003- July 2003 Director - Motorola Credit Corporation Middle East and Africa:

• Motorola Credit Corporation is the Credit and Financing arm for Motorola Inc. one of the leading Telecommunications Equipment Manufacturing Companies in the world. I was responsible for arranging financing and credit facilities for Motorola customer’s through-out the Middle East and Africa. MOBINIL – THE EGYPTIAN COMPANY FOR MOBILE SERVICES -CAIRO, EGYPT

June 2000- August 2002 Chief Financial Officer – (CFO): MobiNil was one of the largest mobile operators in the Middle East, providing GSM cellular services in the Arab Republic of Egypt. Main shareholders included France Telecom / Orange and Orascom Telecom. MobiNil is publicly traded on the Cairo Alexandria Stock Exchange (EMOB.CA) and one of the largest publicly traded companies in Egypt.

• Responsibilities included the financial management of the leading GSM Operator in Egypt (55% market-share), with over 2 million subscribers, 1,750 employees, 2.4 billion Egyptian LE in annual revenues ($516 M USD), and a market capitalization in excess of 2.9 billion LE ($625 M USD). MOTOROLA, INC. SCHAUMBURG, IL – USA (1986 - 2000)

July 1996-May 2000 Director of Finance, Network Management Group – Satellite Ventures Division:

• Responsible for oversight of four independent operating companies.

• Manage financial planning, reporting, and analysis of the Global Satellite Communications Division.

• Key team leader in setting and executing the satellite groups' financial strategic plan. Direct hands on involvement in business development and financing activities with direct interface with Investment Banking, Lenders, and Legal transactions.

• Responsible for establishment and management of operating companies, including board membership, development of local financial staff, and ongoing internal controls and financial reporting.

April 1995-June 1996 Pan American Operations Controller, America’s Service Division:

• Direct financial responsibility for the Americas Service Division, reporting to the Vice President of Finance.

• The scope of responsibilities included Planning, Forecasting and oversight of all financial activities including Billing, Credit and Collection. The Service Division consisted of 150 Service Sales Personnel, 150 Company Owned Service Centers

(COSC) and over 1000 Service Franchise Locations (MSS). Assisted in developing the Strategy for the Sale and Conversion of the over 150 Pan American Company Owned Service Centers (COSC’s) to Independent Franchise Centers. Primary developer of the business valuation model used to value the businesses developed the process each region was to follow in selecting potential buyers and executed the conversion of over 90% in a six-month time period. June 1994-April 1995 Operations Controller, America’s Service Division - Canada, Caribbean & South America:

• Responsible for financial support and leadership of the Canadian and Latin American Service Organization.

• This organization included 35 international company owned and operated Service Centers and 20 Service Sales representatives.

• Additionally, I was primarily responsible for determination and implementation of new pricing models and establishing guidelines for Subcontracting Agreements with over 100 independent owned franchise outlets.

• This position included the management of financial staff located in Ontario, Canada; San Juan, Puerto Rico; and Sao Paulo, Brazil. Feb 1992- May 1994 Finance Manager, North America Group - Central Division:

• Responsible for financial support of the Customer Service; Network Services; and Indirect Distribution businesses in the North America - Central Region.
