As a member of the firm’s markets and trading practice group, regularly advise institutional investors, family offices, and private equity, pension, and hedge funds in connection with trading, financing and derivatives documentation as well as provide advice related to regulatory and corporate governance issues. Draft and negotiate clients’ master trading documents—e.g., swap master confirmations, LSTA/LMA loan trading documentation, and ISDA Master, prime brokerage, lock-up, custody, securities lending, master securities forward transaction, cleared derivatives execution, collateral, credit, and master repurchase agreements—and their ancillary documents—e.g., electronic trading, soft-dollar, non-disclosure, and research agreements. Frequently advise clients with respect to joint venture agreements and private investment in public equity deals (“PIPE Deals”). Encrypted confidential communications regarding high profile clients. Engaged with clients and Assistant United States Attorneys and federal agents to negotiate and settle cases. Successfully performed client intake for newly arrested and charged potential clients.
