Major Accomplishments

o Lead manager and coordinator for the Initial Public Offering (IPO) which culminated in the listing of Libstar Holdings Ltd on the Johannesburg Stock Exchange (JSE Limited) in May 2018 with gross proceeds of ZAR 1.5 billion;

o Prepared and administered five VDRs (virtual data rooms) for buy- and sell-side transactions as part of the Mergers and Acquisitions team, with cumulative value in excess of ZAR6.5 billion; o Successfully migrated from Accpac accounting software and implemented a new accounting system

(Syspro) without any glitches;

o Executed the financial integration of ten newly-acquired businesses and ensured conformity with Group reporting requirements;

o Routinely prepare International Financial Reporting Standards [“IFRS”] financial statements bi-annually, within 60 days of reporting period.

Professional Experience

2010 – Current Group Financial Controller: Libstar Operations (Pty) Ltd [“Libstar”], South Africa Reporting to: Group Commercial and Finance Director Libstar is a publicly traded investment holding company traded on the JSE and comprises 28 business units operating in the CPG sector in multiple locations within South Africa. Annual Group revenues total ZAR 10 billion and the Group employs over 6,000 people.

Key achievements and highlights during my time at Libstar (excluding major accomplishments highlighted above) include:

o Reduced monthly reporting cycle for the Group from ten working days to six working days; o Introduced and set up internal control systems in order to enhance reporting and control environment; o Supported implementation of QlikView to provide segmental reports, sales and product analyses and track intercompany transactions across the Group;

o Contributed to the development of a Corporate Chart of Accounts for the Group; o Oversaw the implementation of Prophix as a reporting and budgeting tool; and o Implemented reports for monthly stock revaluation from weighted average method to FIFO method. Key Responsibilities:

Organisational Leadership

o Lead finance team of 28 financial managers including providing technical guidance and support, mentoring and supervising staff and ensuring adherence to reporting deadlines; and o Oversee financial accounting function and management reporting for the Head Office. Page 2 Rufaro Dhlembeu

Financial Reporting and Planning

o Analyse margins, working capital usage, cash flows and cost control on a weekly basis and investigate material variances;

o Prepare annual budget and monitor progress against budget in collaboration with relevant line managers; o Consolidate Group budget and monthly management accounts; o Prepare financial statements in accordance with IFRS including defining the Group’s accounting policies and creating appropriate consolidation journals;

o Compile integrated annual report;

o Prepare board packages for the Board of Directors as well as Audit and Risk Committee; and o Liaise with internal and external stakeholders.

Treasury

o Oversaw the implementation of a cash management system with banks; o Assist subsidiary companies with new applications for forward cover, foreign exchange, bank accounts, asset-based finance, etc; and

o Am custodian of cash management function.

Company Secretarial and Compliance

o Maintain company secretarial documentation – ensuring submission of annual returns for the Group, updating directorships, name changes etc; and

o Liaise with tax advisors and ensure that the Group is tax compliant. 2007 – 2009 Articles of Clerkship: Moore Stephens Cape Town Inc, South Africa Moore Stephens is a medium-sized audit firm, ranked tenth in the world by the International Accounting Bulletin. Critically, I was consistently able to develop a rapid and thorough understanding of the business operation and the related audit risks and to tailor the audit to address those risks.
