**Vistaprint, Waltham, MA** Vice President and Associate General Counsel, Intellectual Property (2010 to 2023)

**IP Protection:** Led the strategic development of global IP portfolios, effectively protecting business investment and development with patents, trademarks, copyrights, and trade secrets

(domain names as well). Provided direct counseling to inventors and marketing personnel to secure valuable technology and brand assets. - Led the multi-year legal workflow related to a significant rebranding of Vistaprint to Vista including several new related marks.

**Contracting and Transactional Matters:** Reviewed, drafted, and negotiated a wide array of agreements, including software licenses, creative asset licensing, and registered IP licensing. Played a key role in M&A transactions. Responsible for both policy setting and hand-on approvals of both Open Source code consumption as well as contribution to the respective community. Business as usual agreements (purchase agreements, NDAs, invention assignments for employees, etc.). Primary drafter of SaaS agreements to facilitate third-party use of the Cimpress manufacturing capabilities.

**Risk Management:** Conducted freedom-to-operate and clearance studies, implementing strategies to mitigate risks related to adversely held intellectual property. Senior member of the content review team - a standard setting team responsible for providing standards and guidelines regarding the propriety of product content.

**Leadership and Communication:** Served as a thought leader on IP and legal matters, communicating actionable information across organizational levels. Supervised Global IP Team and provided direct client support as well.

**Dispute Resolution:** Provided counseling and direct support of global IP disputes, large to small, and always skillfully balancing both in-house and outside counsel activities.
