Executive Vice President of Business & Legal Affairs. Rose from Attorney in a three-person department to Executive Vice President of Business & Legal Affairs managing a staff of over 30 lawyers and business affairs and business development executives and a budget of over $10 million.

Responsible for all worldwide business and legal affairs in the pay-TV, pay cable, satellite television, pay-per-view, video-on-demand, videocassette, videodisc, internet and digital media markets including all production, acquisition, distribution, promotion, licensing and joint venture deals. Responsible for all business and legal affairs relating to the development, launch and operation of all of Paramount’s worldwide pay-TV and branded cable channels. Also supervised all litigation for business units which generated in excess of $3 billion in revenue annually.

Significant achievements at Paramount included:

Lead attorney for Paramount’s first domestic and international satellite television licensing agreements (Direct TV and British Satellite Broadcasting, respectively);

Lead negotiator and attorney on first multi-studio joint venture for Latin American pay television service (CineCanal);

Lead attorney on first multi-studio joint venture for Southeast Asian pay television service (HBO Asia);

Lead business affairs executive and attorney for television license deals each exceeding $1 billion dollars in revenue, including TPS in France, BSkyB in the United Kingdom, Premiere in Germany, HBO in the US;

Lead negotiating attorney for the formation of Movielink, Paramount’s first internet delivery service, a joint venture with Universal, Warner Bros., Sony Pictures and MGM/UA. Venture obtained clearance from the Department of Justice after review for anti-trust purposes;

Lead business affairs executive and attorney for the formation, launch and operation of Paramount’s first advertiser-supported branded cable channels, in the United Kingdom and Spain respectively;

Formed and managed business affairs team for Paramount’s first made-for-DVD production unit;

Lead negotiator and attorney for Grammy award winning documentary, “Bob Dylan: No Direction Home”;

Structured and negotiated Paramount’s first digital media license deals with Apple, AOL, Amazon and Microsoft;

Lead attorney for Home Entertainment and Pay Television divisions in the de-merger of Viacom and subsequent acquisition of Dreamworks Pictures;

Successfully integrated business development unit into business and legal affairs department to develop strategies and financial plans for the transition from packaged media to digital distribution;

Negotiated and concluded DVD replication deal valued in excess of $1 billion; and

Member of the Board of Directors of Movielink and Paramount’s representative to the Motion Picture Association of America and the Motion Picture Export Association of America

1982 - 1987 MOTION PICTURE ASSOCIATION OF AMERICA, INC. New York, NY

International Counsel. Assisted the seven motion picture studio members of trade association to develop new businesses (i.e., home video, pay-TV and cable television) and to enter international markets in Europe, Asia, Africa, Latin America and Australia.

Significant achievements at MPAA included:

Identified and developed strategies for obtaining new revenue sources for the trade association and its members (i.e., video levy revenues and European cable retransmission royalties). New revenue sources generate $25 million - $75 million annually for MPAA and its members;

Represented US interests in numerous Berne Convention revision meetings under the authority of the World Intellectual Property Organization;

Drafted model copyright legislation for developing countries;

Developed and authored MPAA strategy paper outlining the potential uses of satellite technology by motion picture and television distribution companies; and

Lead US attorney for MPAA in connection with the formation and operation of AGICOA (International Association For The Collective Management of Audiovisual Works)
