I am an experienced transaction counsel with major public information technology companies, focusing on

pharmaceutical, health benefit and managed care organizations, advising customers and internal operations on data

privacy and security and federal /state regulatory and licensing compliance, including Medicare, Medicaid, ERISA,

FDA, HIPAA, HITECH, False Claim, Anti-Kickback and Stark. I have supported large scale provision of SaaS/On

Demand cloud processing, hosting, outsourcing, license, consulting services, partner and channel offerings. I have

trained internal personnel and presented at customer conferences regarding cloud and data transmission and storage

and business process outsourcing legal issues.

MAJOR ACCOMPLISHMENTS:

As the sole legal department member of a small cross functional business team, I developed the legal and

contractual basis for the initial SaaS/On Demand customer offering. I worked with product, sales, consulting and

data center managers to successfully bring to market a fully realized and in production service that has since grown

to become a significant and profitable part of the company’s portfolio.

During the period in which HIPAA Regulations were written, I contributed research and strategy to the company’s

effort to influence and shape the nature and content of the Regulations. The process resulted in material changes

that addressed concerns of our customers and members of our industry.

I achieved the reinstatement of state licensing status for a third party administrator that directly resulted in

continued business operations without fine or other penalty.

Working with a legal/contracts/business cross functional team on a series of projects resulted in a number of major

business changes, including a full rewriting of global customer contract templates, revision of approaches to partner

relationships, negotiation playbooks and establishment of global purchasing guidelines

• Provision of legal support of cloud-based, On Demand/SaaS/IaaS and Hosting Business Units. Structured

and negotiated complex transactions for business process outsourcing, IT outsourcing, professional

services, system integration and licensing. Design of datacenter security internal policies and procedures.

Drafting of service level agreements and service support customer offerings. Support team responsible for

responses to RFP/RFQ’s. Sole legal representative to global business cross functional team within EMEA

and APJ to direct new cloud customer, project development and partner arrangements.

• Established and implemented new SaaS and other cloud business offerings, drafting and implementation of

SaaS, hosting and consulting contract templates, resulting in consistent annual increases in sales of

regional plans and health insurance third party administrators. Represented health plans regarding state

licensing and other insurance regulation issues. Provided legal support for merger and acquisition efforts.

• Responsible for regulatory compliance advice and counsel to the Blue Cross Association and managed care

plans applicable to health care related statutes including HIPAA, ERISA and GLB and state insurance

matters.

• Provided legal support for license product, consulting services and application service provider customer

contract negotiations. Established primary outsourcing arrangements and source code escrow agreements.
