Lion One Metals Limited-Chief Financial Officer – October 2011 to February 2013 Primary responsibilities: corporate budgetary control, financing and corporate reporting to the TSX Venture Exchange, US SEC, Canadian taxation authorities and Fijian Governmental agencies. Performed

o Consolidated reporting from third parties, trained Fijian accounting staff and enabled quarterly financial reporting including financial statements and Management Discussion and Analysis report within two month required cycle

o Restructuring accounting systems, design and implement new internal controls, integrating accounting, budgeting and geological drill program o Coordinate and control amalgamation, reverse take-over and prior year tax issues with Canada Revenue Agency and foreign tax authorities

o Overseeing and monitoring the audit process and communications o Creation of new three year budget program to coordinate with proposed drill programs o Creation of a new mining valuation model, for purposes of financing, and potential sale opportunities Burghout Chartered Accountant Firm

The firm was created December 1992, and was merged with Viola in December 2006. Firm was re-established June 2011.

o Management consultation which included creation of new reporting/recording systems for industries undergoing new legislative and business model development. This was performed in the forest industry and the municipal resources sectors.

o Assurance work was performed in the municipal, quasi-governmental, forestry, non-profit and small business sectors. The engagements included analysis and monitoring of internal control system improvements. The assurance work resulted in the discovery of several fraud charges (within a municipality), investigated by the Ontario Provincial Police, and corresponding convictions. o Specialized tax work with corporate reorganizations, US LLC, Nova Scotia “S” Corps, and business valuations were performed for various companies, both Canadian and US- based. o Provides both internal and external audit consulting for newly publically traded entities both in the US and Canada, for accounting and compliance with the TSX-Canada and the US Securities and Exchange Commission

o Preparation of business plan and liaison with private and public Banks o Consultancy in all merger and acquisition activity and acted on both sides of transactions o Has acted as Trustee for a variety of business and private family wealth management. Fazzari + Partners, LLP – July 2010 – Jun 2011 – merged operations o Performed audit services for a US-based corporation with producing mining interests in Central America . The engagement resulted in additional valuation services, communications with the United States Security Exchange Commission, the Public Company Accounting Oversight Board, and Texas State of Public Accountancy

o Provided business valuation services for shareholder disputes, marital breakdowns and purchase and acquisitions.

Burghout Viola Chartered Accountants – January 2007 to June 2010 – merged operations o As partner in the firm, I was responsible for all detailed tax work, including tax roll-overs, reorganizations, transfer pricing, the valuation work for corporations and insurance claims, forensic services offered and continued assurance services from my predecessor firm. o The valuation work included work on Pharmaceutical acquisitions and the corresponding development of methods to sell off non-capital losses and SRED claims. The tax work included the corporate reorganization of Italian-based corporations wanting to operate within Canada. Institute of Chartered Accountants of Ontario (ICAO) – 1995 – 2007 Performed part-time practice inspector services for the ICAO. Education/Professional Qualifications

Canadian Institute of Chartered Business Valuators – May 2010 to current. The Institute requires the attending of six mandatory courses prior to being allowed to write the Chartered Business Valuator exam. Illinois Board of Examiners – December 2009 I was issued my Certified Public Accounting designation in the USA Institute of Chartered Accountants of Ontario and the Canadian Institute of Chartered Accountants – December 1987, I was issued my Chartered Accounting designation University of Waterloo – September 1981 to May 1986, I obtained my Honours Bachelor of Mathematics, majoring in mathematics, accounting and minoring in information systems.
