My proven record is in providing sound financial initiative and management of
accelerated company growth through managing the bottom line and cash flow. I founded,
acquired, merged and have recapitalized firms and am well-networked in the banking and
venture capital environment.
SIGNIFICANT ACHIEVEMENTS
Designed, negotiated and closed a $10 million Leveraged Management buyout moving five
classes of VC Preferred Shareholders (who owned 80% of the company) to long term, non-
convertible secured debt This resulted in one class of common shares outstanding leaving
the executive team owning 82% of the company Portrait Displays, Inc.
Prepared and filed 10-K, 10-Q, 8-K, proxy filings, S1 and S2 SEC Registration Statements.
Innovacom, Inc MPEG .
Closed $10 million in registered public equity financing. This involved road show
presentations to Wall Street Investment Bankers (Innovacom, Inc). Closed over $50 million
in debt and equity (private and public) funding for Rebis, Innovacom Networks, Macronix,
and Forte Communications.
Completed acquisition of a major competitor and negotiated full integration into Rebis.
Identified and negotiated successful arbitration proceedings which resulted in a 20%
reduction in cost of major acquisition and 10% reduction in outstanding capital stock
Rebis, Application Development Engineering.
Managed renegotiation of major Secured Convertible Debt agreements which resulted in
significant increase in cash flow Rebis and Autodesk.
Developed and implemented the first financial reporting system bringing said company into
GAAP compliance. Implemented budgeting, business and cash flow systems. Recruited and
managed the first independent accounting firm and Investment Banker for Portrait
Displays, Inc., Rebis, Forte Communications.

from $0 to $70 million in annualized revenue in four years. Participated in the very
successful merger of Forte Communications into Digital Communications (NASDAQ DCAI ).
