Leveraged Buyout: Advised KKR & Silver Lake Partners in their € 8.3 billion acquisition of Philips Semiconductor s (NXP)

and subsequent € 4.5 billion high yield offering. Transaction was the 2nd largest Technology LBO in history and was

awarded “2006 Technology Deal of the Year” by Investment Dealers’ Digest.

IPO: Public offering transactions for VMware, Avago Technologies and OpenLink Financia l (both in registration),

Paradigm, Ltd. and ViewSonic Corp. (both postponed).

Sell-Side M&A: Advised Frictionless Commerce in its sale to SAP AG.

Hostile Defense: Advised Mentor Graphics in its defense against a hostile bid from Cadence Design Systems.

Buy-Side M&A: Advised Francisco Partners in its acquisition of certain assets of Dover Corp .

General Advisory: Ongoing advisory for a multi-billion dollar semiconductor chip company. Includes strategic buy-side

mandate, hostile takeover defense analysis and leveraged recap and bank debt issuance.

provider. Extremely fluid relationship which led to multiple debt restructurings.
