Transactional, M&A, Corporate Governance:
Advisor to Senior Management and Boards of Directors for private and public U.S.-based and
multinational companies regarding corporate governance matters, including the purchase, sale and
management of corporate entities, subsidiaries and joint ventures, constitution of Board committees,

Litigation, Dispute Resolution
Litigation Counsel resolving domestic and international vendor claims and government investigations
through aggressive negotiation and strategic litigation (32 trials), conducting investigations of suspected
breaches of corporate policies, managing outside counsel, drafting pleadings and briefs, responding to
subpoenas and discovery, preparing witnesses for testimony, and conducting depositions and oral
argument. Led all phases of investigations and trials in multiple industry sectors, advising Attorney
General re civil merger enforcement and criminal indictments and presenting cases to grand juries;
