Private Funds Formation/Investment Group
o Draft substantive legal agreements in connection with formation of
large private equity and hedge fund complexes (of various investment
strategies) as well as captive funds, including exhaustive limited
partnership agreements and LLC agreements, private placement and
offering memoranda, secondary and rollover transaction agreements,
transfer agreements, subscription agreements and associated
documents, side letter agreements, management agreements, and legal
opinions pertaining to securities, tax, and enforceability issues.
o Manage large (often in excess of $200 million) private equity and
hedge fund investments and negotiate extensively on behalf of
various clients including large corporate investors, governmental
pension plans, individual private investors, not-for-profit
organizations, and university endowments, among others.
o Advise clients regarding manager-investor disputes, fraudulent fund
investment schemes, and other issues including compliance with
Investment Adviser's Act and Investment Company Act, and other laws;
assist clients with development of various fund strategies including
arbitrage, distressed debt opportunities, asset-backed securities
(including MBS), and commodities.

o Draft due diligence memoranda in connection with large corporate
acquisitions; assist with drafting of stock and asset purchase
agreements for acquisitions and divestitures; draft employment
agreements, transition services agreements, letters of intent, non-
disclosure/non-compete agreements, escrow agreements, and a wide
variety of other ancillary agreements.
o Coordinate/manage foreign counsel with respect to legal and
contractual issues arising in connection with multi-jurisdictional,
international acquisitions; conference with clients and opposing
counsel re: legal, business and contractual issues concerning
acquisitions/divestitures.
