Re-established small private practice while seeking additional contract project opportunities within the

financial and real estate services industries.

Completed a short term document review project (December, 2012) involving pharmaceutical

anti-trust litigation through Hudson Legal, St. Louis.

Providing settlement of a significant estate and last will filed for approval in St. Louis City Probate

Court, 22 Judicial Circuit.

Handling the review and negotiation of minor commercial leases (warehouse and office space) for a

long term real estate investment client.

Continuing to advise a small title agency (Title Experts, LLC, St. Louis, Missouri) with regard to

boundary issues, escrow disputes, §1031 tax-deferred exchanges and debt collection matters.

Citi Mortgage, Inc., O'Fallon, Missouri. Contract Attorney

Initially hired through Hudson Legal, Chicago Illinois, and assigned to Senior Counsel Lawrence

Kettenbach‘s pre-litigation review team for a six (6) month period. This was extended to a full year.

Duties included legal and loan file research of issues relating to mortgage loan loss claims for breach

of contract, negligence, negligent misrepresentation and fraud against third parties relating to

correspondent loan closings in several states including title closing agents, title insurers, appraisers,

brokers and developer / sellers.

Established a claims review process to better identify and communicate potentially strong claims to

the litigation team.

Reviewed representation, warranty and indemnity claims against correspondent loan brokers under

various Loan Purchase Agreements on deficient or misrepresented loan documentation.

Reviewed and respond to title and mortgage insurance claim denials as warranted. Advised CMI as

to title insurance and closing process matters based on my previous experience in the title industry.

Assisted in negotiating and drafting loan purchase settlement agreements and loan servicing letters

important to the daily business needs of CMI; provided legal guidance on rebuttal responses to

private and agency investor demands for repurchase of loans sold by CMI.

Determined repurchase or indemnity obligations for loans held under REMIC structured trusts where

CMI acts as Master Servicer, particularly in light of increasing disputes over loan modifications.

Assisted with statutory and case review relative to corporate document seal and execution

requirements in a 50 state legal survey.

Community Action Agency, St. Louis County, St. Louis, Missouri. Associate Compliance Officer

09/09 – 08/11

Hired in September 2009 to serve a leading non-profit St. Louis agency for a three (3) year project.

Reviewed American Recovery and Reinvestment Act (ARRA) legislation and related legal documents,

contracts, agreements, rules, regulations (including Davis-Bacon and state prevailing wage laws),

memorandum, policies and procedures as part of county-wide federal assistance programs.

Drafted and reviewed critical bid packages and related contract agreements to implement ARRA related

weatherization work for over 1,500 low income households in St. Louis County, Missouri.

Assisted Contract Compliance Director to assure full compliance of specific ARRA funded programs with

Federal, State and local laws and guidelines.

Assisted Contract Compliance Director with coordination, development, implementation and revision of

agency policies and documentation relating to ARRA program operations.

Conferred with and assisted Contract Compliance Director and agency staff to identify and correct

potential areas of ARRA compliance problems and to anticipate future compliance requirements.

Updated and reported on Federal and State law, policy and procedural changes relating to ARRA related

programs. Suggested and assisted with necessary internal policy implementation.

Assisted with preparation and review reports for Contract Compliance Director and agency staff.

Assisted Contract Compliance Director with Federal wage and employment issues for agency’s Human

Resources Department.

Served as liaison between Agency and subcontractors to ensure ARRA compliance.

Drafted key agency partnering agreements to further social outreach objectives. Includes memorandums

of understanding or land use agreements with other area agencies, local governments and private entities

for such programs as the Community Gardens effort (2010), Adequate Housing for Missourians (2010)

and the St. Louis County H20 Repair Program (2009 – 2010).

Developed several key compliance file review procedures, reports and spreadsheets to communicate

timely file status updates for supervisor and staff.

Established small practice in 2005 representing clients in commercial and residential real estate, family

law, traffic and minor criminal representation as well as providing small business legal services.

Minor litigation, statutory and case law research for clients and referring counsel. Successfully defended

Title Experts LLC of Missouri from a spurious alter ego claim filed in St. Louis County in 2009.

Landlord-tenant relations, including lease drafting, evictions and tenant screening procedures.

Reviewed and prepared documentation for property development transactions, complex commercial

leases, development and sale contracts, boundary, surveys, subdivision plats, indentures, easements and

encroachment matters identified on commitments or title binders.

Complex document review projects through select legal temporary services including Kelly Services and

JurisTemps. Adept at RingTail, Summation, ProView and Citrix - based document management computer

technologies. Firms assigned in 2007 include Greensfelder, Hempker and Gale, P.C., and Bryan Cave,

LLP. Firms assigned in 2008 include Husch Blackwell Sanders, P.C., and Schlichter Bogard, and Denton,

LLP. St. Louis. Note: Hired directly by Schlichter, Bogard and Denton, LLP. from September, 2008,

Successfully assisted with the establishment and opening of Advance Title Company, Inc. of Farmington,

Missouri in 2006. Continue to provide legal services and guidance as required.

Provide real estate transactional representation, due diligence and closing services, including mobile

Oversight of commercial examination, closing and disbursing transactions per investor instructions.

Managed and reviewed legal aspects of Section 1031 tax deferred property exchanges (straight and

reverse) as performed by Capital Exchange, a Qualified Intermediary for company’s commercial clients.

Prepared documents, sequential closing execution, timeline coordination and reporting forms.

Introduced staff to use of Adobe / Acrobat Viewer document program technology for legal document

drafting, editing and secure transmission of final documentation as preferred by major banking institutions

nationwide.

Provided initial claims investigation and resolution through the underwriter. Resolved or mitigated nearly

eighty percent of all claims through due diligence review, correctional documentation, re-recording of

deeds and minor cash settlements with full releases.

Assisted with creation and presentation of a 1031 Exchange Seminar presented through the KMOX /

Robert Kiyosaki “Rich Dad / Poor Dad” investment work shop offered at the St. Louis Millennium Hotel in

the Summer of 2004. Our company’s seminar was one of the most well -attended, gaining five new

commercial clients immediately following the event.
