aspects of environmental laws associated with stock and asset purchases

and sales, including providing risk assessments and negotiating and

drafting purchase and sale agreements, initial public offering Form S-1s,

Form 10-Ks, credit agreements, environmental indemnification agreements,

environmental provisions of property leases and environmental insurance

policies.

. Assist clients in obtaining and transferring environmental permits for

all types of discharges and defend against challenges from environmental

advocacy groups;

. Provide regulatory compliance support and participate in multi-media

environmental compliance audits for Fortune 500 manufacturing facilities

and businesses.

. Advocate for clients on agency-created Technical Advisory Committees

brought together to draft environmental regulations, including water

reuse regulations and wind power generation regulations

federal and state brownfields initiatives and state voluntary clean-up

agencies regarding alleged permit and regulatory violations.

. Assisted mediator in all aspects of a successful CERCLA mediation

involving more than 50 contributors to a PCB transformer Superfund Site.
