Director of Legal Compliance and Technology Exports
This work involved negotiation, legal research, and the drafting of
advisory memorandums for the following companies:
. Walt Disney Corp: Wrote an Advisory memorandum to Disney's Legal
Counsel on U.S. Export regulatory compliance requirements for Disney's
"Daily Blast" software.
. Eclipse Surgical: Advised Eclipse Surgical's General Counsel on FDA
regulatory requirements for obtaining the approval of a laser used in
heart surgery. Specific Issues included the FDA's Investigative Device
Exemption (IDE) and pre-market notification procedures for export
purposes.
. Affymetrix: Negotiated with the United States Government to obtain
export approval for Affymetrix's DNA equipment.
. McClung Properties: Preparation of a legal memorandum on California's
Prescriptive Easement requirements and negotiated with the necessary
parties to resolve all issues on my client's behalf.
. Gobel Commercial Properties: Advised Gobel properties on California's
Implied Warranty of Habitability requirements (as applied to
Landlord's), and the interpretation of a San Jose Zoning Ordinances,
and Deeds of Trust.
. Chevron Corp: A memorandum on Environmental land use regulatory
compliance regarding CERCLA & RICRA.
. Scripps Research Institute: Advised senior management regarding the
legal implications of complying with a Government Funded contract
between Scripps and Affymetrix. The issues I addressed included; rights
to inventions made by nonprofit organizations and small businesses
under Government grants and contracts, and compliance with the Clean
Air Act and Federal Water Pollution Control Act.
. Obtained export licenses for over 50 technology companies. This
required my knowledge of the Export Administration Regulations ("EAR")
and the International Traffic in Arms Regulations ("ITAR") and the
Federal Acquisition Regulations ("FAR"). Many of the licenses I
obtained involved wireless encryption and duel-use technologies.
Pacific Land Holdings, LLC., Campbell, CA 2004 to
2007

. Ensured that all projects were in compliance with the California
Subdivision Map Act, the California Environmental Quality Act ("CEQA"),
and city land entitlement regulations.
. Performed market research to determine the value of residential home
building and to direct attention to identified prospects.
. Met with city planning officials, city planning consultants, and other
engineering/planning/support personnel to discuss and determine current
and future land development requirements. This often included discussion
of current city zoning regulations and general plan guidelines.
. Conducted due diligence activities to determine if each land investment
is sound. These activities included evaluation of environmental surveys
(phase I and II), sound studies regarding noise Impact mitigation, the
availability of utilities, and a full review of title and escrow
documents.
AltaVista Internet Search Company., Palo Alto, CA
2000 to 2003
Business Development Manager for All Core Internet Search Technology
. Reported directly to Mark Wozniak, the lead Business Development
person for AltaVista's search technology.
. Improved AltaVista's Internet search product offering by completing
major transactions with key technology partners in the areas of web
search and platform performance.
. Worked with AltaVista's Product Marketing, Finance, and Engineering
groups to gather their
input to prepare business cases that assessed the merits of each deal.
I then negotiated deals and structured AltaVista's contract rights in
a manner that maximized the benefit to AltaVista, managed risk, and
reflected the input of AltaVista's Product Marketing, Finance,
Legal, and Engineering groups. What follows is a sample of some of
the companies I completed deals with and a brief explanation of the
search technology they provide:
- Teragram Corporation: Teragram provides linguistic technology
that is deeply baked into AltaVista's search service and search
product. Examples include: morphological stemming, search
categorization, hashing, and multilingual dictionaries in over 30
languages.
- Akamai/Navisite: Akamai provides server routing of AltaVista's
graphical images for faster download time.
- Keynote: Keynote provides an online service that allows AltaVista
Engineering and Operations to monitor the performance of its
website(s).
- Surfwatch: Surfwatch technology enables the "Family Filter"
feature on the AltaVista website.
- Caucho / Resin Software: Caucho server "Clustering" software
provides the ability for multiple servers to appear as one server
to clients. Clustering provides enhanced reliability and allows
sites to scale up as server demand increases.
- Systran / Babelfish: Language translation technology that
allows for the conversion of
text (or entire web pages) into multiple languages
