Javelin Pharmaceuticals, Inc. (JAV), Cambridge, MA

2006 - 2010

A pharmaceutical development stage company with three products in phase III

development. Javelin was

purchased by Hospira, Inc. in July 2010 for over $170M.

Chief Financial Officer and Secretary

Played a key role in enabling the corporation to sustain operations in the

face of an economic sea change fueled by the worst economic downturn since

the 1930's. Held the financial tiller while positioning the company to

bring a key product to market and to deliver value to shareholders through

its sale to Hospira.

Served as Partner and Trusted Advisor to 2 successive CEO's and the Board

of Directors. Closely managed the efforts of professionals in Accounting,

Finance, Information Technology, Pharma Supply Chain Management, Facilities

Management, and Human Resource Management. Partnered with the CEO and VP of

BD on all business development negotiations. Chaired the Joint Steering

Committee with Therabel on the European licensing of Dyloject.

Stewarded P&L's and budgets as large as $45M. Guided capital raises in

public and private markets. Led and managed all public SEC filings

including interfacing with financial analysts, shareholders, and investment

banks. Controlled General and Administration spending ranging from $4M to

$8M per annum.

. Played a pivotal role in funding ongoing company operations. Spearheaded

the raising of over $76M in public and private capital placements while

taking the lead in managing relations with investment banks, attorneys,

auditors, and over 5,000 investors and potential investors.

. Enabled Javelin to position itself for $55.5M in potential earnings from

the product Dyloject. Partnered with the CEO in out-licensing Dyloject in

Europe while driving $11M in cash for upfront milestone and inventory.

. Avoided a disastrous security market collapse in late 2007. Liquidated

more than $11M in auction rate securities well in advance of the

collapse.

. Provided value for more than 5,000 shareholders. Helped orchestrate the

sale of Javelin to Hospira for more than $170M.

. Ensured timely SOX compliance in a highly regulated industry. Achieved

SOX compliance in only 6 months through accelerated filing. Maintained

compliance for 4 years running with no material weaknesses or significant

deficiencies.

1998 - 2006

One of the oldest biopharmaceutical companies in the US with over $4B in

revenues and $14B in market capitalization.

Director of Corporate Accounting

Fueled the development of a world-class accounting function with turnover

well below industry standards. Orchestrated the efforts of 21 accountants

supporting external reporting, technical accounting, research and

development, manufacturing, sales, general and administrative and the

information technology functions. Provided high level direction in

budgeting, forecasting, and latest estimate and P&L reporting as well as

all financial reporting, worldwide closing and global consolidations.

Served as senior liaison to the SEC while leading the development of all

accounting policies and procedures as well as the adoption around the

globe.

. Provided the CEO and CFO with an early view of anticipated revenue and

earnings while enabling a significant reduction in closing cycle time.

Personally developed and managed the latest estimate process worldwide.

. Led the development of the Biogen Finance Mentoring Program which played

Digital Equipment Corporation (DEC), Maynard, MA

1996 - 1998

A leading computer manufacturer acquired by Compaq in 1998. DEC's market

capitalization at the time of the acquisition was approximately $10B.

External Reporting Manager

Drove the preparation of public financial reports, including 10Q's, 10K's,

and earnings reports while providing accounting insight and oversight

across more than 5 business units. Advised BU management on all accounting

matters, new accounting regulations, and accounting regulation

interpretation. Ensured compliance while enabling management to better

understand the impact of regulations on their respective business units.

. Earned management accolades as recipient of the 1998 Digital Equipment

Corporation CFO Award. Gained recognition of more than $160M for pension

and retiree healthcare modifications over a 2- year period.

. Provided critical accounting contributions to a $150M spinoff of the

company's Learning Services business unit which later became known as the

Global Knowledge Network.

. Delivered accounting and business consulting buyers during a 6-month
