Diversified Process Components, Inc., Boardman, OH 04/2003 to
08/2010
Founder/COO
Established this wholly-owned subsidiary on behalf of HEVUN Diversified
Corporation to purchase a substantial portion of the operating assets of a
bankrupt entity, Girton, Oakes & Burger, Inc. ["GO&B"], a 127 year-old
entity which was the USA's oldest manufacturer, wholesaler and fabricator
of MRO components and processing systems utilized in the production of
food, beverage and pharmaceutical products. Managed all administrative
facets of the organization such as HR, procurement and logistics, and
financial operations, while managing a direct staff of six [6] and an
indirect staff of fifty [50].
> Operational-related responsibilities included oversight of the
procurement function [including supplier sourcing and logistics for
vendors in China, Taiwan, Thailand and India], along with all
logistical functions such as inbound/outbound freight negotiations,
warehouse organization and operation, and the shipping/receiving
functions.
> Financial-related responsibilities included total P&L responsibility,
creation and monitoring of quarterly and annual budgets, along with
oversight of the creation of all monthly and annual financial
reporting and tax preparation.
> Legal-related responsibilities included extensive contract negotiation
and drafting for transactions typically ranging from $50,000.00 to
$500,000.00 in accordance with UCC requirements; oversaw extensive
bankruptcy and civil litigation emanating from the purchase of the
assets of GO&B.
> Implemented NetSuite management and CRM system [ORACLE-based ERP
platform], reducing IT costs and streamlining operational processes.
> Improved gross margins from 21% to 48% and net profits from a loss to

Founder/COO
Established this developer of Class A office and healthcare facilities,
residential and flex commercial office/warehouse space, with operations
ranging from the design/construction phase through to facility management
for a portfolio of internally-owned and third-party-owned facilities.
Managed all administrative facets of the organization such as HR, financial
operations and facility construction/maintenance, while managing a direct
staff of six [6] and an indirect staff of twenty-four [24].
> Founded as a speculative developer of residential homes, expanding
into multi-unit dwellings with total construction of approximately
175,000 square feet all of which was divested as-built.
> Refocused efforts to a build-to-suit model encompassing the
development, tenant fit-out and management of approximately 250,000
square feet of office space for an internally-owned portfolio and
third-party clients.
> Co-developed and managed approximately 225,000 square feet of flex
commercial space.
> Operational-related responsibilities included the solicitation and
negotiation of prime general contractor and sub-contractor bids,
oversight of all phases of construction projects and management of
completed facilities.
> Financial-related responsibilities included total P&L responsibility,
creation and monitoring of quarterly and annual budgets, along with
oversight of the creation of all monthly and annual financial
reporting and tax preparation for fifteen [15] entities.
Responsibility for sourcing construction and take-out financing from
various financial institutions, as well as arranging equity financing
from project partners.
> Legal-related responsibilities included extensive contract negotiation
and drafting experience, management of legal issues related to zoning,
traffic and environmental issues, leasing transactions and real
property sales transactions.
> Beginning in 2000, tasked with all facets of negotiating and closing a
divestiture of a majority of the internally-owned office space and raw
real estate portfolio to various acquirers.

Founder/COO
Founded this medical practice management company expanding to include
ownership of twenty-two [22] Banyan Tree Rehabilitation physical
rehabilitative healthcare facilities and management of thirty-six [36]
independently-owned facilities operating in three states. Managed all
administrative facets of the organization such as HR, financial operations
and IT, while managing a direct staff of twelve [12] and an indirect staff
in excess of one-hundred fifty [150].
> Provided medical practice management services to over fifty [50]
separate corporate entities, twenty-two [22] of which were organized
to enable the managing healthcare provider within each Banyan Tree
Rehabilitation facility to participate in clinical ownership.
> Operational-related responsibilities included oversight of all
functional departments such as HR, finance, medical billing, IT, and
marketing/business development.
> Financial-related responsibilities included total P&L responsibility,
creation and monitoring of quarterly and annual budgets, along with
oversight of the creation of all monthly and annual financial
reporting [all entities] and tax preparation [22] entities.
Responsibility for sourcing start-up and operational/lease financing
from various financial institutions for the twenty-two [22] internally-
owned entities.
> Legal-related responsibilities included extensive contract negotiation
and drafting experience, including leasing transactions, employment
transactions [employment agreement, non-compete and non-disclosure
agreements] and the negotiating, drafting and maintenance of over
1,000 third-party payor contracts. Also responsible for ensuring
compliance with various state and federal regulatory laws, including
applicable Medicare laws pertaining to limits on physician ownership
of entities providing ancillary medical care.
> Developed the EnvisionOnline practice management system, which was the
first SaaS system dedicated to healthcare practice management,
scheduling and medical billing. Divested EnvisionOnline to a division
of Healtheon/WebMD, which incorporated the SaaS architecture within
its Medical Manager product.
> Tasked with all facets of negotiating and closing a divestiture of the
clinical and medical management operations to a regional division of
Select Medical Corporation, a publicly-held strategic acquirer.
