Music and Media Licensing Manager

. Responsible for the creation and implementation of rights and

clearances practices for use of intellectual property on radio,

television, online, or in any ancillary materials.

. Negotiate favorable rates and secure rights and licenses for the use

of intellectual property on lamusica.com and in programming produced

by MEGA TV.

. Define, establish and implement practices, policies and procedures to

ensure compliance with intellectual property laws by employees.

Educate employees as to the proper use of company's intellectual

. Responsible for overseeing and ensuring procedural compliance of

Payola/Plugola regulations by Program Directors.

. Responsible for complying with music licensing requirements,

particularly as it relates to ASCAP, BMI and SESAC.

. Monitor company's 15 radio stations in addition to their television

station to ensure compliance of FCC regulations.

. Responsible for policing the internet for unauthorized postings of

MEGA TV content including streaming of broadcasts, user posted clips

and full episodes of TV shows along with the online offer of sale of

unauthorized DVD's. Also responsible for monitoring the unauthorized

use of company trademarks and/or logos.

. Draft copyright infringement and takedown notices for attorney's

review and transmission.

. Work closely with Producers of television programs to ensure

compliance of company and industry standards. Oversee completion of

cue sheets by Producers and responsible registration of cues with the

performance societies.

. Drafting or reviewing and negotiating new license agreements as well

as renewing existing agreements for radio, television and internet

(including but not limited to program and/or content acquisition

agreements, writer and producer, publishing and administration

agreements, distribution deals, location agreements, logo/trademark

licenses, volunteer agreements, digital download/streaming and

ringtone licenses and release and hold harmless agreements. Ensure

that contracts accurately reflect negotiated terms.

. Draft and revise releases to conform to each specific situation

(including but not limited to appearance, acquired footage, event and

program release, medical and travel assumption of liability).

. Draft, review and/or revise sweepstakes and contest Official Rules,

affidavits and releases.

. Evaluate all prior agreements of prospective artists/songwriters prior

to contractual engagement with the entertainment division.

. Provide support in the development, research, management and

resolution of legal issues involving various areas of intellectual

property, including copyright, licensing, and trademark issues.

. Work with Associate Counsel creating efficiencies into the contract

process. Ensure that existing standard form agreements meet current

business and legal needs.

. Assisting in various aspects of trademark work including performing

initial searches and preparing applications.

. Create and process mechanical, master use and digital download license

agreements for music publishing company.

. Submit copyright registrations for all new compositions to the Library

of Congress and maintain deposit account. Register all new

compositions with the affiliated performance society.

. Create annual departmental budget as well as perform analysis and

comparison of licensing fees to order to evaluate and minimize costs.

. Department liaison with accounting for all billing (including

reviewing and processing licensing bills).

. Manage internal database of company's intellectual property.

. Direct contact with various Licensor's such as Arbitron, Associated

Press, Sound Exchange, ASCAP, BMI, SESAC, the Radio Music Licensing

Committee ("RMLC") and the Television Music Licensing Committee

("TMLC"), handling contract negotiations and fielding inquiries

between licensor's and employees.
