Stepped into the role of Corporate Controller, on a contract basis, to
establish financial and accounting stability for the Company. Primary
objective and resulting responsibilities included, but were not limited
to: the creation of a business model/operating strategy to attract
investors; completing a historic audit of the financial statements for
the preceding three years; developing a strategy for collections and cash
flow management; and establishing necessary processes and controls for
the accounting department.

Individually responsible for all SEC required fillings and technical
accounting issues encountered as a result of operations. Worked with
Business Segment Controllers to ensure that all subsidiary ledgers were
maintained in accordance with GAAP, and assisted with the parallel
processing phase of a Hyperion implementation to ensure individual trial
balances were appropriately mapped to subsidiary and ultimately
consolidated financial statements.
> Managed relationship with external auditors to ensure all technical
issues were addressed and accounted for in accordance with GAAP, or
IFRS for our international subsidiaries.
> Drafted footnotes and MD&A sections for the annual and quarterly
financial reporting filings.
> Drafted memorandums, as required by external auditors, that
documented methodologies applied to technical accounting issues
including: stock based compensation; fixed asset and goodwill
impairment; lease accounting; capitalized software; valuation
allowances; imbedded derivatives; and segmented reporting.
> Worked with department heads of operating segments to improve the
accounting departments understanding of the key processes impacting
operating results, and helped to identify processes and controls
necessary to mitigate potential exposure.

Drafted technical memorandums and due diligence reports on proposed
acquisitions, divestitures, and complex transactions to provide clients
with an understanding of the tax consequences and/or opportunities
created as a result of individual transactions. Worked directly with
client executives to determine the nature, timing and extent of tax
consulting services to be provided. Assisted in fee negotiations, and
provided ongoing support to clients.
Non-transactional experience included consistent exposure to FAS 109 and
Fin 48 projects for both public and private clients, review of tax
footnotes, and the completion and review of tax returns for C
corporations, partnerships, S corporations, and limited liability
companies.
Assurance and Advisory Services
Senior, ( September 2004 - August 2007)
Acted as the primary client contact and managed staff and new seniors on
audit engagements. Specialized in retail accounting for apparel
companies, with 40% of billable hours charged to the American Eagle
Outfitters engagement. This, combined with time spent on other public
engagements represented over 1,400 hours, incurred annually, auditing SEC
clients.
Responsibilities included, but were not limited to: reviewing all SEC
required filings for accuracy and adherence to laws and regulations;
assisting external reporting department with presentation and content of
MD&A and financial statement footnotes; managing the SOX process and
presenting audit findings to members of the executive management team;
preparing all equity work papers including detailed reviews of client's
FAS 123R and earnings per share calculations.

Treasurer of Pi Kappa Phi social fraternity. Responsible for all financial
aspects of the organization, including maintenance of a $300,000 annual
budget, and coordinating fundraising efforts for approximately 100
individuals.
Personally raised more than $25,000, and served as the Director of
Philanthropic activities for a fraternity that contributed over $1.2
million over four years to the Four Diamonds Foundation for pediatric
cancer.
