Current

Co-founder and board member of startup www.grupoffer.com, an e-commerce

site offering consumers daily deals marketed to the US Spanish speaking

community. Raised seed funding, setup c-corp, general ledger, shopping

cart and payment gateway integration, crm tools, contracts and contract

management tools and basic operations.

Other advisory projects included sell side M&A advisor for 3rd largest

consumer retail gift card processor in US, business development for

web-based virtual retail gift card company and consumer rebate prepaid

program manager, and fundraising for loyalty based social media company.

7/08 - INCENTIUM, LLC ($100M+ e-commerce B2B/B2C www.incentium.com)

Chief Financial Officer

Originated the leveraged acquisition of Incentium, LLC by Summit

Partners, a leading private equity firm (www.summitpartners.com).

Appointed Chief Financial Officer and assumed key role in management of

business and strategy. As part of the leadership team, I provided

strategic vision and guidance in transitioning business into a SaaS based

provider of incentive and loyalty marketing services, expanding reach

into retail Rebate and Points based markets, introduced new prepaid

products and helped to build world-class sales, marketing and finance

organizations. As CFO, I oversaw all aspects of accounting, finance,

human resources, administration and legal. Key responsibilities include

financial reporting, forecasting, treasury management, tax, audit,

compliance, product pricing, contract negotiation, procurement and

investments.

Responsible for solving technical accounting issues and managing

acquisition, tax and financial structuring. Guided business successfully

through first ever financial audit, performed by a big-4 firm.

Transformed accounting from basic bookkeeping to comprehensive finance

organization. Implemented a variety of analytics, including KPI, standard

costing and profit models to help management drive top and bottom line

with an informed financial perspective.

Introduced and implemented productivity tools including ADP HR/Payroll,

web-based 3rd party expense and travel applications, sales commission

model and sales force management/CRM.

Led contract negotiations with key partners (service providers,

technology and strategic). Results include cost savings of 30% annually

from service providers, restructured benefits yielding benefits increase

of 2x for less than 10% cost increase, licensed new technology expanding

our TAM by 100% and setting up a strategic partnership which secured more

than $50M in new business in 2010.

Oversaw all aspects of pricing and partner with sales team in

structuring, negotiating and closing large and complex sales

Group Vice President, Corporate Strategy & Development

As a member of the senior management team of Blackhawk Network, a

wholly-owned subsidiary of Safeway Inc. (NYSE: SWY), I was responsible

for strategic and financial planning, acquisitions, alliances,

investments, new business development and other corporate partnering

activities. In this capacity, I was instrumental in the development and

execution of a number of key strategic corporate initiatives, some of

which included:

Built business cases, performed due diligence and executed buy-side

transactions including the acquisition of EWI, which expanded retail

product breadth into prepaid telecom services. This acquisition

contributed $20M volume in 2006 and over $750M in 2009.

Involved in seven other potential acquisitions with combined deal value

exceeding $1.75Bn.

Developed retail based coalition loyalty program leveraging acquired

patents and technology.

Launched www.giftcardmall.com and executed key partnering agreements to

enable entrance into B2B and e-commerce market segments of prepaid,

expanding TAM of business by more than $25Bn.

Led international expansion of core retail prepaid distribution business

through organic and partnering activities.

Led telecommunications investment banking for Silicon Valley Bank. In

this capacity, I had a specialty focus of advising companies in the

wireless and wireline device, software and semiconductor markets. I was

responsible for origination and execution of merger, acquisition and

private capital financing transactions.

Led a team of three semiconductor and communications junior bankers and

oversaw all aspects of the group's activities including client

relationship management, marketing, origination, deal execution and

recruiting.

Successfully closed a cross-border buy-side mandate and strategic

financing and originated and led deal execution on three semiconductor

and two communications sell-side mandates.

Direct report to the President & CEO and member of management team with
