resources to advance internal and external portfolios collectively including hundreds of

patents and applications.

Legal Opinions. Supervise detailed patent searching efforts for orthopedic implants and

instruments. Review prior art to establish non-infringement or invalidity of competitive

patents. Prepare written and oral opinions for partners in support of the same.

Due Diligence. Conduct patent document review to support $6MM acquisition of

competitive patent portfolio. Advise partner regarding steps to conduct prior to completion

of acquisition. Review purchase documentation. Participate in funding discussions to

provide IP input regarding the market value of the combined patent portfolios.
