review and negotiate purchase agreements and related contracts, and work with former

person legal team responsible for over $1MM in annual revenue. Generate revenue
through work on behalf of partner companies. Support internal development efforts
through IP filings and due diligence. Hire and train new legal team members including one
patent agent and one patent attorney. Conduct personnel reviews and work with the HR
department to determine appropriate compensation, titles, and job descriptions.
Client Relationship Management. Work with company partners including orthopedic
surgeons and top-tier medical device OEM's including Stryker, TranS1, Biomet, Zimmer, and
Smith & Nephew to maintain relationships and move IP aspects of joint development
efforts toward commercialization or divestiture.
Portfolio Management. Establish brainstorming sessions for the R&D team to generate
internal IP and identify internal projects. Support efforts at outbound licensing and
divestiture including multiple asset sales in the $3MM to $5MM range. Direct internal
resources to advance internal and external portfolios collectively including hundreds of
patents and applications.
Legal Opinions. Supervise detailed patent searching efforts for orthopedic implants and
instruments. Review prior art to establish non-infringement or invalidity of competitive
patents. Prepare written and oral opinions for partners in support of the same.
Due Diligence. Conduct patent document review to support $6MM acquisition of
competitive patent portfolio. Advise partner regarding steps to conduct prior to completion
of acquisition. Review purchase documentation. Participate in funding discussions to
provide IP input regarding the market value of the combined patent portfolios.
