Assisted in the creation of an operating agreement and option agreement between investment and development entities. Additional tasks included researching potential for project debt financing, water rights and resources strategy, onsite merchant wind power generation, and negotiating strategy and/or partnership with third-party, mineral right owner.

Acquisition/due-diligence and financial analysis for an additional 30,000 acres of “contracted” land deals not consummated by Pivotal due to deteriorating market conditions. Directly involved in creating deal structures, payment timing appendices, contract language and negotiations for a number of deals as large as a $400 million escrowed deal located west of Phoenix, AZ.

Managed the following entitlement and engineering aspects of the Sandia master-planned community (3,200 acres in Coolidge, AZ)

-Utility and environmental permitting strategy and implementation

-Management of .25 MGD (SBR, expandable to .75 MGD) wastewater treatment plant design and associated Clean Water Act section 208 amendment and Aquifer Protection Permit

-Management of groundwater treatment competitive pilot testing for removal of fluoride and arsenic from groundwater. Selection and

preliminary design of an activated alumina system and associated “Approval of Construction” from ADEQ

-Assisted executive management in obtaining water/sewer utility franchise to serve project

-Created deal structure and terms of service to provide water service to an adjacent development requiring an understanding of Regulatory Utility Consumer Office (RUCO) accounting standards and Corporation Commission service extension policy

-Obtained an “Assured Water Supply” for entire project (with effluent from a planned WWTF on the certificate) requiring an understanding of deal structure, title and tax strategy

-Managed CWA Section 208, Aquifer Protection and Approval of Construction permits to a successful completion

-Managed a NEPA required Environmental Assessment, and negotiated a Memorandum of Agreement regarding archeological mitigation with the State Historic Preservation Office and the Bureau of Indian Affairs

-Assisted in the creation of a Community Facilities District allowing Pivotal to request reimbursement through the issuance of $150 million dollars in municipal, general obligation, bonds to offset the cost of road, park and other qualified, public facility improvements onsite

-General plan amendment, pre-annexation development agreement and zoning negotiation

-Engineering management of a Maps of Dedications, 1,200 unit pre-plat/final plat and improvement plans for the same (roads, state, highway interchange, circulation plans etc.)

Managed the closeout of the WestWing master-planned community (1,300 acres in Peoria, AZ)

-Represented Pivotal in the marketing and sale of over a hundred acres of residential and commercial property

-Managed the public bid and private construction of a traffic light and various warranty release construction obligations

-Negotiated settlement with City regarding remaining infrastructure obligations and associated impact fee reimbursements
