• Performed technical research, including implementation of most current FASB, SEC and IFRS guidance. External audit fees were reduced by a combined $75 thousand as the result of accurate interpretation of applicable accounting guidance.

• Prepared SEC Form S-4, one of the most complex and extensive of SEC filings, which led to a successful initial $260 million public offering of bonds. All bonds were purchased and provided additional capital for ongoing operations and acquisitions.

• Prepared all SEC filings and supporting documentation. All SEC documentation filed on a timely basis with no material changes as a result of external auditor review.

• Worked with valuation consultants and assisted in the negotiation for the April 2006 acquisition of SI Corporation ($250 million in annual revenue), established internal controls over the acquiree and formulated all purchase accounting entries.

• Performed all technical research issues including implementation of most current FASB guidance.

Corporate Controller

• Responsible for all accounting, internal control and financial reporting activities for E.on North America Inc. and subsidiaries. All financial statements were generated on a timely basis with no material audit adjustments.

• Established internal control procedures for General Ledger, Payroll, Accounts Payable, and Accounts Receivable. Written procedures facilitated cross-training and substitution during employee absences.

• Reviewed all SEC filings for MEMC Electronics Ltd., one of the company’s subsidiaries. All SEC documents filed on a timely basis without significant SEC comment letters.

• Implemented a system designed to take advantage of early payment discounts, saving over $200 thousand annually.

• Designed and implemented a system to track inventory returns, eliminating the possibility of paying for returned items which resulted in a savings of $250 thousand annually.

May 1998 – June 2000 Bondo Corporation (subsidiary of RPM, Inc. - a Fortune 500 manufacturing company)

Corporate Controller

• Promoted to Corporate Controller from Assistant Controller in August1998.

• Responsible for all accounting, internal control and financial reporting for Bondo Corporation, manufacturer of automotive products generating approximately $60 million per year in revenue.

• Managed accounting department of 14 accountants in manufacturing facilities in Atlanta and Cincinnati.

• Organized and performed due diligence activities of acquisitions saving approximately $200 thousand in outside auditor fees.

• Established and maintained controls over acquired companies.

• Designed all production, inventory and cost accounting modules for computer system conversion to SCT Adage using an activity-based costing methodology, which led to more accurate standard costs of all products manufactured.

• Established a variance reporting system effectively measuring material, labor and overhead costs of production, saving $100 thousand per year due to improved cost control.

• Established a slow-moving inventory monitoring system, which was instrumental in reducing gross inventory from $13 million to $9 million.

September 1993 – May 1998 Dataproducts Corporation (Hitachi subsidiary - inkjet printer cartridge manufacturer)

Plant Controller

• Co-responsibility with Production Manager for operation of factory generating $25 million in revenue. Factory operated profitably until the transfer of all production to California in May 1998.

• Managed and monitored $9 million in inventory.

• Managed 17 employees covering the areas of financial statement preparation, cost accounting, accounts payable, accounts receivable, payroll, and inventory management.

• Effectively managed the following without material reductions in profitability: discontinued production of cost-sensitive ribbon products; tracked and monitored closing of Jimmy Carter Blvd. location; worked closely with Engineering, Marketing and Production to develop higher-margin inkjet cartridges for Canon and HP printers; worked closely with Marketing and consultants to generate pro-forma financial statements and narrative for presentation to Chairman of Hitachi Koki, which led to establishment of retail distributors such as Comp USA and Staples. This operation generated $20 to 30 million in annual revenue.
