As an Assistant Company Secretary:
Performed all tasks relating to Board Meetings, Co-ordinate with Registrar of Company Office and Intellectual Property Office (company registration, filing of annual returns, trade mark registration & renewals)
I contributed to drafting Memorandum and Article of Association for the Beverage Manufacturing Co., Cargo Handling Co., and Charity Organization.
LAW - AS AN APPRENTICE:
In January 2005, started as an Apprentice under Mr.Dinal Phillips President’s Counsel.
During that period critically analysed the cases, engaged in client’s consultations.
3rd November 2005 called to the Bar as an Attorney-at-Law.
AS AN ATTORNEY – AT – LAW:
From December 2005 to May 2006 Practiced under Mr. Dinal Phillips (PC) as a junior counsel.
During that period appeared as a junior counsel in the Commercial High Courts and rendered the service as an assigned counsellor of Colombo High Court No. 4 & 5.
From June 2006 to November 2006 rendered service as Associate Lawyer in M/s PAUL RATNAYEKE ASSOCIATES, Colombo, Sri Lanka.
• Acting as legal adviser to a number of local and international banks advising on issues including increase of minimum share capital, compliance with Monetary Board and Central Bank regulations and drafting of loan agreements.
• Involving in the takeover of one of Sri Lanka’s leading listed hotel groups by an offshore fund. Advising on Share Structure, Share Purchase Agreement, tax implications, Local regulations and conducting legal due diligence on the target company.
• Advised local and international quoted and unquoted corporate and institutional clients on debt financing, guarantees, indemnities and other, more day-to-day financial arrangements.
• Advised in the merger of the country’s largest security company with a Danish blue-chip security company. Involved in initial negotiations on structuring, and contributed to drafting of Memorandum of Understanding, Joint Venture, Shareholder and Subscription Agreements, advised on a tax-efficient share structure and Exchange Control implications.
• Incorporation of a subsidiary Company limited by Guarantee, for a Norwegian International Aid Organization to conduct micro financing in Sri Lanka. Prepared Memorandum and Articles of Association, loan agreements and advised on the repatriation of funds.
• Advised an international credit council on corporate governance, Central Bank and Exchange Control regulations. Developed a financial program and structure to enable necessary consents for offering credit and loan facilities in Sri Lanka to be gained.
• Facilitated a Joint Venture between a multinational power company and the Ceylon Electricity Board. Drafting Power Purchase Agreement, and other relevant documentation.
• Drafting construction agreements for the offshore construction of duty free shops in several international airports.
• Specially handle all aerospace matters, appears in court and perform other general administrative work.
• Consulted and completely handled Re-insurer passenger claims on behalf of one of the world largest Airline Companies.
• Contributed to drafting observation for Trade Mark issue of leading local mesh manufacturing company.
• Facilitated to draw Labour compensation package for off-Shore marine company.
• Advised to one of the pioneer group of companies in Sri Lanka to establishe joint venture company in Bangladesh.
AS A COUNSEL:
Since December 2006 to 28th February 2009, worked as a junior counsel of Mr. Shibly Aziz (P.C) former Attorney General of Sri Lanka.
As a Legal Officer
Since 1st March 2009 to date working as Head of Legal of Sri Lanka Cricket, which is a governing body of Cricket in Sri Lanka and a full member of International Cricket Council (ICC). I engage in the following,
• Provide legal advice to Hon. Minister of sports in all matters related to game of cricket and sports law.
• Advise interim committee which was appointed by the Hon. Minister of sports for smooth functioning of the Sri Lanka Cricket, matters pertaining to the Sports Law, Administration, Recruitments, and Finance etc.,
• Negotiate sponsorship/construction contracts with foreign/local clients (Multi-national Companies) and state organizations.
• Draft project/sponsorship agreements with foreign/local clients (Multi-national Companies) and state organizations (Ceylon Electricity Board, Sri Lanka Ports Authority/State Engineering Corporation etc.,)
• Negotiated with BOI to transfer the ownership of Mahinda Rajapaksa International Cricket Stadium in Hambantota and Pallekelle Cricket Stadium in Kandy and contributed to draft transfer agreement.
• Negotiated with Land Commissioner General and Secretary to the Ministry of Land to obtain title ownership of Mahinda Rajapaksa International Cricket Stadium in Hambantota and Surrey Cricket Ground in Maggona Kalutara and contributed to draft title deeds.
• Negotiated and Contributed drafting of construction agreements in construction and refurbishment of Mahinda Rajapaksa International Cricket Stadium in Hambantota, Pallekelle Cricket Stadium in Kandy and R.Premadasa International Cricket Stadium respectively, with State Engineering Corporation, Sri Lanka Ports Authority, M/s China Habour Engineering Co. Ltd and M/s Sinohydro Joint Venture.
• Liaise with International Cricket Council, Asian Cricket Council and member cricket boards in respect of the cricket related matters, inbound out bound tours, training programs and exchange of umpires and coaches.
• Advised Ministry of Sports, Interim Committee of Sri Lanka Cricket and International Cricket Council which amendments that have to be done in Anti Corruption Code.
• Researched and introduced a new set of tournament rules for the domestic Premier League Cricket Tournaments.
• Liaise with Insurance companies to formulate insurance policies which are suitable to the requirements of Sri Lanka Cricket Team.
• Located and liaised with Hon. Attorney General of Sri Lanka, M/s Holman Fenwick Willan LLP (Singapore) and M/s Rajah & Tann LLP (Singapore) in respect of the violation of TV rights and arbitration conducted at the SIAC centre of Arbitration in Singapore.
• Drafted TV Rights Agreement, Other Major Sponsorship Agreements, Player Contracts, Ground Construction and Re-Construction Agreement, Memorandum of Understandings, Tournament Rules and Disciplinary Code.
• Appeared as counsel before Arbitrations Tribunals, Labour Tribunals, District Courts, High Courts, Court of Appeal, and Supreme Court.
• Conducted disciplinary inquiries on matters relating to disciplinary issues among the clubs, clubs and players and among the players.
• Generally acted as a Legal Officer being responsible for the smooth functioning of the activities of the Sri Lanka Cricket, and compliance & enforceability of rules and regulations imposed by the Ministry of Sports and International Cricket Council.
• Liaise with the sponsors on matters relating to out standing payments and do follow up.
• Liaise with commercial banks to obtain facilities and do drafting loan agreements.
• Liaise with Immigration and Emigration department on matters pertaining to the VISA of players and officials.
• Handle recruitment of new employees and during the tenor of employment recruited Additional Chief Executive Officer and Senior Managers.
• Advise to all HR related matters in head office and venues/stadiums, give recommendations to follow up.
• Negotiated with Singapore Company to sell Marketing Rights of Sri Lanka Cricket and contributed to drafting of an agreement for Sri Lanka Premier League (SPL) T 20 tournament.
• Negotiated and settled the terrestrial broadcasting dispute between Sri Lanka Rupavahini Corporation and Sri Lanka Cricket’s Broadcasting Rights Holder.
• Provided legal advice for Head of Legal of International Cricket Council and their partners during the supporting period of CWC 2011 which was held in Sri Lanka February –April 2011.
• Liaised with International Cricket Council IDI partners on matters pertaining to the Intellectual Property Rights of CWC 2011.

From June 1995 to July 1999 worked at M/s KPMG Ford, Rhodes, Thornton & Co., as an Audit Trainee and Supervisor of Audits under the guidance of Mr. Nirmal Fernando Partner (FCA). During that period I have done audits in Financial, Trading, Manufacturing, Service, Charity, Tourism & Leisure and Estate Sectors.
In 1999 August I joined M/s Royal Natural Products ( Pvt ) Ltd., as Director International Trade. During that period promoted company products abroad and brought valuable orders to the company.
