Tax Compliance & Research:

• Prepare & analyze tax projections & operating plans for partnerships, corporations, estates, trusts, non-profit organizations and high net worth individuals.

• As Director of Taxation, supervised the federal and state tax compliance for the company’s consolidated group, including 13 corporate entities and 65 limited partnerships. Both the partnerships and corporations filed in all 50 states. The total number of filings required approximated 520 tax returns annually.

• As Tax Director, responsible for the reporting, collection, and payment of taxes with the goal of minimizing the organization’s overall tax liability while ensuring full compliance with all jurisdiction tax laws.

• Supervised filing of personal property tax returns, annual reports and sales & use tax returns throughout the country.

• Extensive multi-state tax filing experience. Utilizing allocation strategies to minimize overall state tax liabilities.

High & Ultra High-Net Worth Individuals, Entrepreneurs, Family Groups & Business Formation:

• Structure newly created partnerships, LLC’s and closely held corporations.

• Structure business and financial transactions for high & ultra-high net worth individuals, entrepreneurs, sophisticated clients and their family groups.

• Assisting high & ultra-high net worth entrepreneurs and sophisticated clients involving real estate transactions (such as section 1031 exchanges), business incorporations, structuring partnership agreements, forming trusts and creating estate tax plans.

• Assisting high & ultra-high net worth individuals and sophisticated clients in structuring financial and business transactions.

• Performed tax planning and research regarding corporate acquisitions & dispositions.

• Capitalization of new ventures through “crowdfunding”, grants, various debt instruments, venture capital, varying equity instruments and IPO’s. 2

Estates, Trusts, and Business Succession & Business Valuation:

• Create comprehensive estate plans for high & ultra-high net worth individuals and their family groups.

• Creation and use of trusts to minimize both income and estate taxes.

• Plan and file tax returns for international and global corporations involving extensive calculations of foreign tax credits.

• Structuring and applying for Non-Profit status both federal (form 1023) and California (form 3500).

• Successfully negotiated hundreds of Offer-In-Compromise settlements in numerous IRS districts nationwide.

SEC Tax Reporting, Disclosures, Attestation Services & Deferred Taxes:

• Strong technical knowledge of GAAP and the various accounting standards, principles & pronouncements.

• Calculate current & deferred tax provisions under FASB ASC 740 (formerly FAS 109), including the determination of the effective tax rate, the analysis of deferred tax asset & deferred liability accounts, and maintenance of tax reserves.
