RECENT PRACTICAL EXPERIENCE
Over the last 10-15 years, I have been fortunate to represent three (3) very affluent “Angel Investors” who required my practical experience and knowledge of finance, finance companies, and aspects of corporate law including the 1933 and 1934 federal Securities’ Acts, Blue Sky laws. Mergers and Acquisitions (M&A) and commercial litigation. I have prepared legal actions in over twenty-five (25) states from summonses to complex commercial complaints, preliminary and temporary injunctions. Extremely comfortable with commercial litigation and transactions in both domestic and international arenas. Drafted a myriad of corporate agreements and documents from the simple to the exceptionally complicated including offering materials such as PPM’s, S-1’s, S-18’s, convertible debenture agreements, JV’s, stock option agreements, reverse merger agreements and much more. I have also formed hundreds of domestic and international entities (and IBC’s) over the years. Well versed in International tax law and Captive Insurance companies. I have worked for the last nine (9) years for a wealthy individual by the name of Mr. Stephen O’Bryan who owns “O’Bryan Commodities” a very reputable firm in Chicago, IL. I assist in a myriad of various financial ventures and legal matters. Specifically, I advised on prospective and ongoing investment opportunities. Responsible for due diligence and troubleshooting investment opportunities. Formed multiple diverse types of entities specifically designed to accomplish the Client’s primary goals. Patrick M. Hull became very wealthy by designing, developing, and then selling “GetLoaded.com” (a trucking app) for almost $200 Million and was a prolific “Angel Investor.” For Information on Patrick Hull See: https://encryptedsensors.com/pat-hull. I had the honor of working directly for Mr. Hull for seven (7) years. Duties consisted of strategizing the best way to approach various investment opportunities and troubleshooting any investment proposals offered to PHULL HOLDINGS, LLC by individuals and companies seeking additional working capital. Formed 100’s of entities, prepared all necessary legal documents for mergers and acquisitions, reorganizations, and investment agreements. Private Placement Offering[s] (PPO’s) per Regulation D under Rules 504, 505 and 506. Duties also included extensive legal and corporate research and “thinking outside the box.” Legal and marketing research with EDGAR were a substantial component of this position. Unfortunately, Pat Hull passed away at an early age three (3) years ago.

At USPM, Inc., Jacksonville, FL., I managed the Company’s Legal Department with ten (10) employees and coordinated with outside Legal Counsel. As Manager, reported directly to the Co-Chairman[s] of the BOD. Drafted all the documents required to successfully acquire USPM from the former owner, Mr. Christopher Fey. Instrumental in establishing a “new independent” Board of Directors. In addition to managing USPM’s “Legal Department,” I was responsible for all corporate governance matters, preparing sophisticated corporate agreements required by the Board of Directors including IRC Section 368 M&A’s, Stock Option Agreements, Licensing Agreements (particularly with QUALCOMM), preparation of additional offering materials, issuance of various classes of stock, investor relations, stock option agreements, responsible for all ancillary corporate required regulatory filings. I worked for David Gee who was another highly active “Angel Investor” who was also very litigious. I filed multiple complaints and negotiated multiple settlements on behalf of Mr. Gee. Formed corporate entities specifically tailored for any given transaction. Drafted by laws and multiple Operating Agreements. Consulted on a variety of extraordinarily complex commercial litigation matters and was responsible for drafting Complaints, Motions, Discovery, all ancillary pleadings associated with a multi-million-dollar legal actions as well as coordinating with outside Legal Counsel. Responsible for “trouble shooting prospective deals and performed exhaustive corporate and civil legal research. David Gee is currently retired.

ADDITIONAL BACKGROUND
Assistant Managing Editor: Assistant Managing Editor for a “daily international tax magazine,” (Tax Analysts d/b/a Tax Notes). Was responsible for summarizing Tax Court and Federal Court decisions, and IRS Opinion Letters including anything promulgated by Congress, Treasury Department, Joint Tax, Senate Finance and Ways and Means Committees.
Tax Lobbyist: Worked as tax lobbyist for the American Truckers Assoc., Washington, D.C. and for the prestigious lobbying firm Liz Robbins Associates (Washington, D.C.). (1992-1997). Put together a coalition of “very large homebuilders” and successfully eliminated an unfair Alternative Minimum Tax (AMT) Rule that taxed large homebuilders at the time the sales contract was entered into even though they did not get realize any actual gain until the actual closing occurred.
Assistant V.P. Legal and Banking: US Foreign Trade Institute Foreign Trade Institute. Spent over ten (10) years working with the U.S. Foreign Trade Institute in Miami, Florida directly with the CEO of the Institute, Mr. George Alessandri, where we worked with Top 50 World Banks on various international banking transactions on behalf of the Institute’s international clients. Internation finance. Operated over 10 different companies that engaged in international financial, banking transactions and international trade agreements including Export-Import Banking transactions.
CONCLUSION
I believe my practical experience, strong legal background, extensive litigation, transactional experience and corporate governance will allow me to swiftly make a positive impact with any employer. I have consistently performed my duties in a responsible efficient fashion and have reduced each of my clients’ legal fees by least $100,000 year after year. Due to my experience, I require minimal oversight/supervision. I can relocate within 30 days.
