WORK HISTORY
Smurfit Westrock Contracts Paralegal III: July 9, 2024 to November 15, 2024: The position is a contract position to support Smurfit Westrock through Mindlance Staffing. I was retained to assist with a due diligence project reviewing the contract portfolios of both companies concerning the merger acquisition for commercial pricing terms, other contract terms plus additional legal and business matters. I helped facilitate agreement collection, review agreements for commercial provisions, plus flag and summarize findings. I reviewed and documented all types of contracts using Smart Sheets. The ability to multi-task, take and change direction working in a fast-paced environment is essential.
UCB, Inc. – Paralegal-Contract Manager: February 1, 2021 to December 23, 2022 This paralegal position is a contract position to support UCB through SSi Staffing wherein I draft, review, edit and negotiate a broad range of contracts (e.g., master services, sow, vendor, consulting, clinical trials, market research, SaaS, software, licensing, manufacturing, collaborations, as well as a range of healthcare professional contracts. I support the Procurement, IIS, HCP and Digital Transformation teams.
CenturyLink – Contract and Building Access Manager; October 2019 to March 2020. The position was a temporary contract position with e-Team, Inc. I served as a temporary Building Access Manager reviewing the CenturyLink network portfolio, primarily in Florida and Georgia plus other nationwide commercial properties, to expand the CenturyLink Dark Fiber network. Working with and connecting CenturyLink engineers and construction crews with commercial enterprises to gain access through an Access Agreement to conduct eys and install fiber for the CenturyLink Network including rent administration and reconciliations.
AT&T Mobility LLC - Senior Contracts and Commercial Real Estate Paralegal; Manager July 12 2000 to May 2, 2019. I worked as a liaison between the legal department and network/corporate real estate, merger-acquisition, litigation plus the National Real Estate Administration departments including rent administration and reconciliations Main duties were to review, negotiate, assist in negotiation, draft, research, correspond and work with all parties to perfect Vendor Contracts, procurement contracts, RFP, Master Lease/License Agreements, licenses, leases, DAS and Small Cell Agreements, and ancillary documents for the development of the Network. I assisted in the acquisition, transfers and the selling of Real Property for the corporation. I assisted nationwide to provide information or assist in dispute resolution for the leasing administration and the network markets with outside parties. I also assisted in developing the transition of the AT&T Mobility/Cingular network real estate market to a cohesive national level by drafting standardized real estate documents, assisting in the Master Lease Program and establishing national legal negotiation guidelines. I performed title reviews and correction of title matters plus environmental matters. I worked closely with corporate executives, corporate council, outside council, opposing council, consultants, government officials and landlords/licensors to assist with the various projects and matters.
Nextel Communications Inc. - Contracts/Commercial Real Estate Paralegal Manager; October 28, 1997 to July 10. 2000. I performed all due diligence with title review and performed corrective title work; survey reviews, lease, license and purchase/sale reviews. Creating closing packages and organizing the file information was an important aspect of this position. I communicated with attorneys, engineers, surveyors, government entities, consultants and citizens to insure the perfection of all real estate transactions. I drafted and proofed all non-standard documents as well as entered into negotiations on non-standard issues. Data entry to keep all databases for the departments current and correct including rent administration and reconciliations was a daily responsibility.
Rodgers & Harden Merger and Acquisitions/Corporate and Commercial Real Estate Paralegal; June 3, 1996 to May 7, 1997. My duties as a paralegal are two-fold for this law firm. On the corporate side of the practice, my expertise is in SEC filings, compliance and answering inquiries, stock purchase and merger acquisitions, patent and trademark searches, taxation and estate planning, drafting license agreements and other contracts, legal research, special projects. We also did real estate projects with telecommunication companies and merger/acquisition. Reviewing title and curing exceptions was one of my major duties as well as drafting leases, curative documents, purchase/sale, UCC searches, Blue Sky, legal research, and Title Review. Data entry to keep all databases for the departments current and correct was a daily responsibility.
AMS Resources, Inc., Commercial Real Estate Paralegal/Transaction Agent; March 1, 1995 to April 29, 1996. As a paralegal/transaction agent for this consulting firm my duties were to provide contract management, financial and legal research, information management and administrative services to utility and communication companies in the areas of corporate law, commercial real estate and right or way. Negotiating acquisitions, dispositions, leases, licenses, easements, grants, permits and contracts were daily responsibilities. Some travel was involved. Specialties were contract, conveyance and transaction management, records and document research, analysis and ISO 9000-process documentation. Data entry to keep all databases for the department current and correct was a daily responsibility.
U.S. Small Business Administration of Finance and Investment. Paralegal Specialist, August 1, 1993 to February 28, 1995. This position required competent knowledge of corporate and commercial realty law and their related legal instruments. Conducting examinations of loan authorizations to determine the nature of legal action required to protect SBA’s interest and the forms and legal instruments to be utilized were the underlying duties for this position. Drafting non-standard documents, letters of explanation, instructions, contracts, leases and title review were all active daily functions.
