Acquisitions and Dispositions:
Played key role in the acquisition and disposition of approximately 45 completed transactions, ranging in size from $20MM to $275MM, in the US, Venezuela (including the successful profitable sale of the business under difficult market environment), Korea, France, Spain, and England.
Worked successfully with multiple investment bankers, Goldman Sachs, Lehman Brothers, Bear Stearns, Morgan Stanley, Manufacturers Hanover, Wood Gundy (Canada) and Piper Jaffray; and the following major companies, Quaker Oats, Con Agra, Kraft, Clorox, Lamb Weston, Cargill, ADM, Gruma (Mexico), and John Labbatt (Canada).
Financing /Investments:
Participated in significant financing transactions in the U.S., Canada, Venezuela, Mexico, Brazil and Chile; developed financing programs for possible investments in France and England.
Oversaw structuring and participation in major transactions including a $100MM medium term note program under a shelf registration statement, filed with the SEC in 1992 and a $300MM revolving credit agreement with seven banks, including Morgan Stanley.
Created and led a win-win solution for industry, government, and farmers on the financing of Venezuelan crops (corn, sorghum, and rice).
Led the creation of financial strategies that prevented a $10MM loss to the corporation during times of economic chaos in Venezuela
Directly involved in the public sales of newly issued common stock in the amount of $57MM (1986).
Systems:
Led cultural change and highly successful selection, design, and implementation of SAP system for Venezuelan operations, including Y2K compliance.
Participated in systems evaluation and selection for $20MM corporate systems installation.
Fully experienced in the use and capabilities of centralized and decentralized mainframe, intermediate and PC-based systems.
Board Relations:
Deeply experienced at making financial presentations to Board of Directors.
