Schedule of Legal Practice Experience:

This schedule is indicative only and is not exhaustive :

1. Litigation

Considerable litigation experience, primarily commercial litigation in the High Court. I am used to dealing in a team in litigation matters and dealing with outside Counsel / Advocates / Barristers and experts as well as correspondent attorneys acting in the team in different locations. I have been the attorney of record and acted against third parties who have engaged some of the largest firms of attorneys and top Senior Counsel.

Recent and current matters include: High Court application against The Minister of Environmental Affairs to prevent the promulgation of legislation declaring Rainbow and Brown Trout as Invasive Species (pro bono work) - successful, State has applied for leave to appeal; Arbitration matter to protect clients copyright, trade secrets and confidential information arising from the breach of a Licensing Agreement, matter in progress, the Arbitrator is a top Retired Judge and there are Senior Advocates representing both sides; High Court action for damages of ZAR 80 million against a munitions manufacturing company for breach of contract;

2. Trusts

Drafting Trust Deeds, establishments of trusts and obtaining of Letters of Authority, acting as a trustee for client trusts, ensuring compliance with the provisions of the trust deed and other legislative and governance issues, dealing with disputes between trustees and beneficiaries, removal of trustees for breach of fiduciary and statutory duties, interpretation of provisions of trust deeds, winding-up / termination of trusts, dealing with property transactions involving trusts and advising on the use of trusts for commercial purposes.

Establishment of Foundations for charitable purposes.

3. Property Law and Conveyancing

I have done hundreds of property transactions of different types including, commercial property deals, residential property transactions both freehold and sectional title (strata), and Share Block transactions.

Registration of transfers of immoveable properties, registration of mortgage bonds for banks and private persons, registering sectional mortgage bonds and cancellation of mortgage bonds.

Drafting of Sale Agreements, advice on structuring of property transactions, preparing amendments and addendums thereto, and advising buyers and sellers and real estate agents on contractual and other issues relating to property transactions.

Advising on disputes between buyers and sellers, and resolving disputes.

Managing properties on behalf of clients, arranging leases, extending leases, collecting rentals, paying rates and services, dealing with disputes.

Drafting Share Block Sale Agreements, attending to sale of shares in share block companies (a form of fractional ownership) for which there are specific requirements in terms of the Share Block Control Act.

Complying with the provisions of the Companies Act relating to property transactions, attending to property transactions by way of sale of shares in companies.

Currently handling eight separate property transactions from sale stage to registration of transfer.

4. Leases

Scrutinising lease agreements for clients prior to signature thereof.

Drafting leases for residential and commercial property, preparing extensions and amendments thereto, dealing with breach situations and cancelling lease transactions

Drafting cessions and assignments of lease agreements; resolving disputes concerning leases.

5. Corporate / Company Law

A broad array of corporate work including but not limited to:

Drafting agreements for the purchase and sale of shares in companies.

Drafting shareholders agreements and Memoranda of Incorporation (MOI’s).

Scrutinising Articles of Association and Memoranda of Incorporation

Scrutinising and amending Memoranda of Incorporation (MOI) for the establishments of companies.

9. Dispute Resolution

Litigation is an unsatisfactory process which is extremely expensive and takes a long time to finalise. Resolving disputes in a reasonable and commercial manner to avoid litigation has become an important aspect of legal practice.

10. Last Wills and Testaments

Advice to client on estate planning, drafting of Wills and Codicils, resolving disputes relating to Wills and Deceased Estates.

11. Administration of Deceased Estates

Acting as Executor of deceased estates and administering deceased estates under special powers of attorney, and dealing with all practical issues relating thereto including resolving disputes which often arise in the process.

12. Managing a Legal Practice

I have managed every aspect of my own legal practice, including but not limited to, engaging staff, training, supervision of staff, attending to staff issues, paying salaries and all statutory payments, dealing with book keepers to prepare monthly accounts, attending to annual Trust Account audit and working with auditor for such purpose, complying with all Law Society requirements such as application for Fidelity Fund Certificate, renewal of annual membership of the Legal Practice Council, managing all aspects of the business of the practice, managing the Trust Account and making all payments for all transactions, dealing with the banks for such purposes.
