EMPLOYMENT OFFER

Dear Jeffrey:

I am pleased to confirm, in writing, the following employment offer to you: TITLE: Superintendent

START DATE: Your start date will be 11/14/2022.

BASE COMPENSATION: Annually of $115,000.00 USD, currently paid weekly. Salaried personnel are not entitled to overtime pay.

AUTO BENEFITS: You will receive a gas card.

PERFORMANCE PROJECT BONUS: You will be eligible to participate in the project bonus pool, which may fluctuate depending on profitability and performance. For Cause: While not every ‘for cause’ reason can be articulated here, examples of ‘for cause’ termination are; job abandonment, gross misconduct, insubordination, theft or embezzlement and serious violations of company policies. Layoffs, reductions in force, and terminations due to restructuring are not ‘for cause’ termination reasons.

SUBSISTENCE: Additionally, while you’re at the SWITCH-RENO project, Helix agrees to pay you a non-taxable living subsistence of $125 per working day. BENEFITS PROGRAM: You will participate in the standard benefits program offered to all office employees. After six (6) months of service, the company will match 32% of your contributions into our 401(k) program, up to 15% of weekly salary deferred to IRS limits, subject to future modifications. The first of the month following thirty (30) days of employment, base medical and dental plans are included without cost to you. Your dependents may be included at additional cost through pre-tax payroll deduction. PTO, VACATION, & SICK TIME: Generally, you will accrue two (2) weeks of vacation every year of employment, increasing to three (3) weeks of vacation per year after five years of service. You will accrue five (5) paid sick days each year. However, certain regions of the country have different time off rules. In those areas, you will enjoy the higher accruals. Should you move to another area of the country, you will be subject to those accrual rates.

DRUG TEST & BACKGROUND CHECK: As a condition of employment, you must submit to and pass a pre-employment drug test, paid for by the company. Additionally, this offer is contingent upon passing a criminal background check.

CONFIDENTIALITY & ARBITRATION AGREEMENTS: The signing of our standard confidentiality and arbitration agreements are a mandatory condition of employment. PREVIOUS EMPLOYER INFORMATION

You agree that you will not use, offer to use, or attempt to use, any confidential information that you received in the course of any previous employment in violation of any agreement, written or otherwise, with your previous employer(s).

INTRODUCTORY PERIOD: It is understood and agreed that the first ninety days of employment shall constitute an introductory period, during which period Helix Electric may, in its absolute discretion, terminate your employment, for any reason without notice. Please understand that completion of the introductory period does not alter the ‘at will’ nature of the employment relationship. FINAL PAYCHECKS: You agree that in the event of your termination, any outstanding monies you owe to Helix may be recovered by reducing your final paycheck, unless prohibited by local law. If the final paycheck is insufficient to satisfy the outstanding debt, you agree to repay the balance within 7 days. TERMS OF EMPLOYMENT: This letter is not an employment contract. This offer and your continued employment will be governed by the standard terms of employment as prescribed by the company. If you accept this offer, your employment with Helix Electric will be considered ‘at-will.’ This means that employment is for no fixed term and that either party has the freedom to terminate the relationship at any time with or without cause or advance notice.
