Responsible for coordinating and facilitating governance functions and related activities of Henry Ford Health System’s Board of Directors, systemwide advisory boards and board committees. Assists the President & CEO and Senior Vice President & General Counsel with planning, developing and coordinating activities that contribute to the effective discharge of governance and management responsibilities. Provides leadership, direction, guidance and consultation to the development and implementation of processes that increase the level of understanding and commitment to the System’s strategies, vision and values among its leadership and members of governance, sponsoring entities and/or other related entities. Advises senior management and directors on governance practices, corporate structure, compliance, and regulatory matters. Coordinates all authoritative correspondences between the Board of Directors, internal leadership and external representatives.

NOTED ACCOMPLISHMENTS

Strategically led the integration and alignment of the System’s governance functions and framework for a newly acquired 500+ bed hospital facility and an offshore risk and insurance entity.

Successfully executes and manages agenda planning, documentation review, coordination and overall logistics for over 150 systemwide board, committee and strategic planning meetings annually.

Established and implemented guidelines for C-suite executives for the developing content and presentation materials to increase operational efficiencies and facilitate meaningful engagement and dialogue at board and committee meetings.

Advised on strategic response to legal and regulatory compliance matters across the company. Developed and communicated compliance policies, processes and training. Manages and conducts internal compliance investigations, risk assessments, and audits. Responded to alleged violations of laws, regulations, policies, and procedures by evaluating or recommending the initiation of investigative procedures. Implemented investigative protocols and oversees investigation process. NOTED ACCOMPLISHMENTS

Drafted the company’s first regional Code of Conduct and corresponding training materials for all North American employees creating a standardized process for managing the company’s rules, values, ethnical principals and expectations.

Provided oversight of outside counsel and managed strategic planning, policy making and governance for the Board of Directors including broad range legal issues such as complex negotiations, vendor contracts, real estate and franchise transactions and regulatory compliance for federal, state and local congressional issues.

Pioneered the first Catalyst Investment Fund in collaboration with the Detroit Lions aimed to remove financing barriers and provide alternative financing resources for underrepresented communities.

Raised over $1M in eighteen months through implementation of the gift-giving campaign, community outreach, sponsorships and new memberships.

Increased membership portfolio by 110% through outreach and collaboration to diverse markets, and the institution of the phone bank campaign.
