Manager, Stock Administration. Hired to set up stock administration for the company, which had just gone public. Purchased Equity Edge software and set up the option and purchase plan database. Re-created all information from the inception of the company and entered into database. Set up procedures with our transfer agent and broker for exercising stock options. Set up month, quarter and year-end reporting practices for accounting/auditors. Assisted with the first annual report, proxy and 10K. Also worked on the secondary offering, providing all stock option and shares outstanding information for legal documents. Worked with the underwriters in the development of the prospectus. Participated as a member of the acquisition team that consisted of attorneys, auditors, transfer agent and broker, etc. to successfully transfer their shares into Net Perceptions. Manager, Shareholder Services. Responsible for the management and administration in all areas of the stock option and employee stock purchase plans for a company of 8,000 employees. Led a team of two stock administrators that reported to me. Due to mergers and acquisitions, we had 17 different stock plans to administer. Managed the stock processes for mergers and acquisitions; traveled to the acquired company to integrate their stock data into our Equity Edge stock tracking system, and trained their employees on our stock option and stock purchase program. Also conducted training classes for Synopsys’ employees on stock options and stock purchase plans. Was responsible for SEC Section 16 rules, regulations and reporting and filing requirements. Processed stock option grants, exercises, terminations, cancellations, repricing, repurchases, and disqualifying dispositions for stock options and stock purchases. Managed their unique stock purchase program with a two-year rolling offering period; conducted semi-monthly enrollment meetings. Provided monthly, quarterly, annual and periodic reports to accounting and auditors. Successfully transferred all stock data from ShareData’s old OTC and ESP to their new Equity Edge software program.
