• Represented SIE’s interests in its acquisition of Gaikai, Inc., a cloud based streaming video game service; a $380 million dollar acquisition.

• Responsible for acquisition of related cloud gaming patent portfolios including the acquisition of On-live, Inc’s patent portfolio; Gaikai’s most significant competitor.

• Responsible for legal issues related to offering cloud streaming services to PlayStation consumers, including subscription services, marketing, privacy, pricing, content acquisition, and customer retention.

Compliance and Privacy:

• Chief Privacy & Compliance Officer Sony Computer Entertainment until April 2017.

• Responsible for compliance and privacy programs at Sony Computer Entertainment America. Produced a code of conduct compliance program, used internationally as Sony Corporation’s standard compliance training program. First Sony Company to achieve 100% participation among employees in compliance training.

• Oversaw SIE’s response to a very public breach of the PlayStation Network in 2011 which had over 90 million user accounts at the time. Actively managed the company’s response on a worldwide basis, prepared and prepped executives for public statements including preparation of executives to testify before the United States Senate and House of Representatives. Acted as counsel to the CEO during testimony to House and Senate committees. Managed responses to the Federal Trade Commission, the Association of State Attorney Generals (avoiding litigation) and responded to over 65 class actions filed on behalf of consumers. All satisfactorily resolved.

• Instituted a data governance program that is on-going to ensure integrity of data in and outside of the company and ensure actual compliance with the SCE privacy policies. SIE Global Data reports to the CLO.

Content Licensing:

• Executive producer and responsible for all intellectual property licensing and production agreements for Ratchet and Clank, the Movie which premiered in April 2016 and launched simultaneously with a PS4 reboot of the original Ratchet and Clank video game. Currently working on negotiation and agreements for the Ratchet and Clank and Sly Cooper television series.

• Responsible for having put the “deal” together for the production of recently released Uncharted Movie based on the Uncharted video game series.

• Oversaw the launch and licensing program for Sega’s iconic character Sonic the Hedgehog. Licensed Sonic the Hedgehog for products ranging from Spaghetti O’s ®,, apparel, movies, and theme parks to a balloon for the Macy’s Thanksgiving day parade. Credited as Director of Business Affairs for the Sonic the Hedgehog television series.

• Negotiated and Licensed Motion picture licenses for SIE’s properties: Uncharted, Infamous, Shadow of the Colossus, God of War, The Getaway, Heavenly Sword, Gran Turismo, and Ratchet and Clank. Negotiated and drafted SIE’s agreements.

• Have negotiated with and licensed content (trademark, players, stadiums, etc.) from all major sports leagues, (NBA, MLB, MLBPA, NFL, NFLPA, as well as the WWF and UFC); have done personal services agreements with major celebrities, licensed major iconic characters from Warner, Disney, Marvel, and other major licensors, and licensed music for games and promotions.

Litigation:

• Responsibility for determining all litigation strategy for SCE. Managed a litigation docket that had a high of over 65 active cases, all in various stages of litigation with a litigation staff of 6. The bulk of the litigation being complex patent cases or class action lawsuits, but also have had trial experience in copyright and trademark matters, product liability, and appeals. Recent notable achievements: 1) in the period from 2012 to 2022, the SIE litigation team resolved more than 25+ matters with aggregated claims in excess of $750 million dollars for $0 dollars paid to plaintiffs and another 6 + matters resolved for nuisance amounts. 2) responsible for the only two defense verdicts in Sony’s favor in patent trials that were allowed to go to a jury verdict. In both instances the verdict was for non-infringement and invalidity. Plaintiffs had sought over $150 million dollars in damages in both cases.

• Substantial experience in negotiating settlements in complex or high stakes litigation.

• Managed SIE’s litigation and defense in class action lawsuits for the PSN breach, artist wage and hour claims, defective product claims, warranty return claims, and operating functionality claims.

• Managed multiple instances of potential safety issues with the Consumer Products Safety Commission.

• Chief Legal Officer of Sony Interactive Entertainment, LLC worldwide. The role coordinates all legal teams to ensure ability to launch products globally. Currently legal teams worldwide number in excess of 150 persons.

• Acquisition of 8 video game development studios and other technology companies, with emphasis on securing talent for continued production. • Represented SIE’s interests in its acquisition of Gaikai, Inc., a cloud based streaming video game service and patent portfolio, a $390 million-dollar acquisition.

• Negotiated and acquired On-Live, Inc.’s cloud streaming patent portfolio.

• Divestment of Sony On–line Entertainment a cloud streaming platform and game division.

• SIE maintains multiple music and motion capture studios. Responsible for service agreements, work for hire, union and all legal issues related to the production of music and motion capture performances.

• Oversight over music licensing teams for license acquisition of music for video games. Patents:

• Direct responsibility for SIE’s Intellectual Property Department worldwide. The department files approximately 10% of Sony Corporation’s patents and maintains the SIE’s patent portfolio worldwide. Responsible for determining portfolio development, maintenance, and strategic planning.

• SIE IPD is responsible for the promotion of inventions and patent prosecution. Developed and oversee the inventor incentive programs.

Privacy and Compliance:

• Directly oversee SIE’s privacy and compliance programs. Responsible for liaison with Information Security teams and implementing a data governance program at SIE.

• Direct responsibility for liaison with the FBI and Multiple State Attorney’s General in the aftermath of network breaches.

Regulatory:

• Oversee all government related regulatory matters. Including responses to FTC inquiries and investigations. FCC clearance of new devices. Filings and disclosures to BIS related to encryption and processing capabilities of computer products. Disclosures and reports to the Consumer Products Safety Commission.

• Management of a subpoena response program to respond to law enforcement requests. Technology Licensing:

• Have overseen and administered the PlayStation licensing program which licenses development SDKs, software tools, development systems and game related technology to game publishers since the inception of Sony’s PlayStation business. The program provides technology and software tools and SDKs, to all major entertainment software publishers and represents the most profitable sector of PlayStation business producing revenues in the US in excess of $1 billion dollars annually.

• Have negotiated numerous patent licenses to acquire technology in fields of graphics technology, computer input devices, networking, and other related fields necessary to produce video games, sale of video game consoles, internet network services, and virtual reality. Served as an intellectual property advisor on BluRay IP negotiations which lead to the universal adoption of BluRay disc technology.

• Established open source policies for use of open source software in game products and video game hardware.

Virtual Reality:

• Responsible for all legal aspects of product safety and launch planning for the PlayStation Virtual Reality System which launched in 2016.

• Spearheading the formation of the International Virtual Reality Association, a new industry trade association just formed by Sony, HTC, Facebook (Oculus) and Google to promote the Virtual Reality industry and establish industry safety and other standards.
