BANK OF AMERICA – Wilmington, DE 1997 – 2021

Senior Vice President – US Credit Card Finance 2015 – 2021

oSpearheaded the development and management of the credit line valuation framework and infrastructure.

Directed the creation of the database repository to house all empirical data.

Championed the creation of an actual financial valuation tool for all investment decisioning including all appropriate segmentation and P&L development including test and control.

Led the management of the entire CLI/CLD process (~$24B) from a financial perspective with finance and the line of business as well as all compliance requirements (both internal and external).

Created all interfaces with Corporate FP&A with respect to the Credit Line Increase Process

Senior Vice President – Strategic Investment Decisioning 2008 – 2015

oLed all investment decisioning for key internal portfolios (including key affinity partners) identified for divestitures in support of overall corporate strategy in support of the affinity business and integration into all FP&A activities

Led all valuation and “Hold vs. Sell” analyses for key affinity partners (both prospective and internal).

Spearheaded development of a strategic vitality model measuring potential acquisition candidates.

oManaged all FAS 142 impairment analysis as well as all quarterly CCAR testing for all Bank of America Consumer Businesses comprising nine product lines totaling $65B in carrying value. Received a Platinum Award for the 2014 testing cycle. Also simplified and streamlined the process with Corporate Planning and Analysis.

Led FAS 107 and core deposit intangibles testing as well as PCCR value analysis in support of Basel I.

oManaged all aspects of the payment network governance funding process from a financial perspective responsible for approving projects requesting network funding ($125MM per year) as well as integrating into all FP&A functions

Required in-depth review of each business case to ensure projects meet internal financial hurdles.

Conducted a review of the business case from the Network perspective (Visa and MasterCard) to ensure that there is the proper “Value-Add” (increased retail volume, increased accounts, and attrition).

Developed a strategic vitality index utilizing a combination of financial (ROI/ROE/NIBT) and non-financial metrics to appropriately “rank order” projects to ensure proper allocation of working capital.

Established a new process to review all projects “post funding” to assess if key hurdle rates were met.

Led all financial analysis supporting the America Express product line.

oLed all US Card Product Development/Business Case analysis.

Directly interfaced with the line of business to properly assess, model appropriately and integrate into FP&A

Key projects managed included: Mobile Banking, P2P, Interactive PDF, Online Bill Pay, and Charge Card.

Led key Durbin mitigation initiatives, including the charge card project which including developing additional product offerings to address Durbin mitigation concerns.

Created all divestiture analysis as it impacts contract negotiations with Visa and MasterCard.

Senior Vice President – Strategic Acquisitions and Investments 1999 – 2008

oPromoted to Senior Vice President and led all aspects of the M&A process from deal valuation, construction, modeling, due diligence as well as conversion, integration and impairment testing as well as integrating all acquisitions into the FP&A process. Managed 5 senior analysts and regularly presented to senior management and interfaced intimately with outside brokerage houses.

Managed and/or was the lead analyst in the domestic acquisition finance area in the evaluation and purchase of over 200 credit card portfolios totaling $3B

Led valuation and due diligence efforts which led to MBNA’s first portfolio efforts in the UK (Abbey Bank) ($500MM in outstandings) and in Ireland ($10MM in outstandings).

Directed all valuation and due diligence efforts related to the People’s Bank of Connecticut UK portfolio ($600MM in outstandings).

Acted as Interim CFO for the joint venture with IXE Banco in Mexico City to grow IXE Banco’s credit card portfolio of $30MM. Also led and directed mediation negotiations with IXE Banco from a financial perspective by working with Bank of America’s general and outside counsel and successfully negotiated a settlement within desired financial parameters (~$11MM).

Oversaw all analysis, valuation, negotiations, and due diligence efforts with Egg Bank France and calculated what the appropriate exit costs would be (~161MM euros).

Led all financial efforts relative to joint venture deal structuring and due diligence efforts in Spain with a key Spanish bank (Caja Navarra) with over 50MM euros in outstandings and determined the appropriate revenue sharing arrangement.

Championed financial valuation efforts related to proposed acquisition of TD Waterhouse Canada ($1.3B).

Spearheaded valuation efforts related to divestiture efforts for the US Airways credit card portfolio ($1B), which also included the oversight of all accounting and financial operational efforts including contract review.

Developed internal portfolio acquisition impairment testing procedures for $5B of intangible assets (PCCR) post Bank of America acquisition to measure all portfolio post-acquisition activity.

Instituted a post-acquisition integration process for major acquisitions.

Generated a white paper study on portfolio acquisitions (effort extended to a Green Belt project where I was the only non-Portfolio Acquisition member on the team).

Created a special M&A governance process utilizing IRR and SVA concepts.

Developed and supported Hoshin Plan metrics for portfolio acquisitions which were used to assess the success of acquisitions.

Created key analyses for MBNA’s acquisition by Bank of America which included support for the overall valuation by each disparate business unit, annual cost/FTE savings as well as the restructuring reserve which was used in the Investor Relations package as well as providing that information to executives at both MBNA and Bank of America.

Created key special financial analyses related to the implementation of the American Express partnership with MBNA as well as the potential acquisition of Capital One.

Successfully implemented Sarbanes-Oxley compliance certification by developing desktop procedures.
