A 25 year plus attorney who has handled business transaction for large and small entities, in a variety of business segments, including manufacturing of proprietary products, distribution of domestic and imported products, development of manufacturing facilities domestically and overseas with the idea of growing the various entities, while protecting the actual entities and their respective Corporate parents of the entities. During most of those years, clients requested that I act as the de facto Corporate Counsel for several of the entities that grew to have annualized sales of 50MM to 500MM, as well as being asked to represent subsidiary entities that produced products domestically or imported products for sale in America and in foreign countries. The Companies were mostly privately held, but in several instances, the entities were publicly held and traded, within the United States. A portion of my work was to handle the required SEC filings for several of those clients.
Generally, almost all real estate items were handled for the clients due to my prior experience in dealing with the acquisition, financing, enhancing, development, and selling of real property. The initial law firm I worked for represented many banks, giving me extensive experience in representing buyers and sellers in banking transactions, and then continuing to handle loans with both banks and the borrowers, with collateral often being real estate in the major cities in Texas or oil related holdings within Texas.
Almost always, the clients had not focused on protection of their company if their respective company (or key subsidiaries) were sued in connection with standard business dealings. At my urging, many clients worked with me to reduce the risks of the respective operations of the prime company or major subsidiaries.
