MAJOR TASKS UNDERTAKEN (FY2009-20)

a)Mumbai Corporate Office - B.U of 32630 Sqft - Termination/Extension of Office Lease. Sustained relationship with the lessors over 18 years. Lease Term ended as of 15 July 19 and handed over peaceful possession.

b)Bengaluru – Mfar Office – Manyata Tech Park – B.U 112548 Sqft - Optimise relationship with the lessors over last 6 years. Lease Lock-in upto Year 2023. Negotiated a highly complicated built-to-suit transaction which was almost truncated due to drastic change in business scenario.

c)Sale of Chandanzira and Bellary land parcel (40 Acres), and WIP of land parcels in Aurangabad (Chitegaon) and Hyderabad (Kallakal).

d)Telengana - Shamirpet Supply Chain Plant, Regus office in Hyderabad & Dhaka. Handholding of satellite offices in Coimbatore, Kolkata, Aurangabad (Chitegaon & Duelgaon Raja in Jalna).

e)Pan-India Mapping of more than 11 owned premises and 59 lease agreements.

f)Pan India management of 320 Nos Tool-for-Trade Mahindra Bolero, Quanto & TUV300 field vehicles, along with VDR tracking and HPCL Fuel Card Management.

g)Sustain ESH & Vehicle Safety initiatives.

h)Key influencer in changing the Bayer legacy model from “buy” to “lease” of 400 owned field vehicles.

Real Estate – Legal & Statutory Issues

a)Aurangabad - Chandanzira – 19.7 Acre land parcel - litigation in Jalna District Court regarding sale of this Land Parcel. Case filed by erstwhile Purchaser to pre-empt sale to any other party. Accomplished sale transaction without protracted litigation.

b)Aurangabad – D Raja – ISPP Project – 11.2 Acre land parcel. Encroachment of company owned access road. Police complaint filed. WIP in civil court.

c)Aurangabad – Satephal - GSPP Project - 20 Acre land parcel - NA conversion done – WIP with local Legal Advisor, Village Sarpanch, Town Planning officer, MPCB etc. Further development on hold due to change in business priorities.

Real Estate - Sale of Land Parcel

a)Karnataka - Bellary – 40 Acre Land Parcel - Due diligence completed by potential purchaser and Sale Deed executed.

b) Telengana – Kallakal – 19.5 Acre land parcel – Title due diligence completed with potential buyer. Transaction being reviewed as per Bayer guidelines.

c)Aurangabad (Chandanzira) – Executed sale of a 19.7 Acre land parcel mired with legal complications.

d)Aurangabad - Chitegaon – 10.7 Acres – Received Bids. WIP for sale approval as per Bayer Real Estate guidelines.

Real Estate - Land related issue.

a)Karnataka – Mega Breeding Station - Dodaballapur – 17 Acre land parcel - WIP on formalities related to land use documentation.

b)Telengana – Nandigama – 7.90 Acres - Review of title documents.

Delhi Office

Handover of Office space in Aerocity – 6600 Sqft

a)Insolvency proceedings against one of our lessor – M/s Varaha Infrastructure by M/s Reliance Infrastructure Finance Pvt Ltd for default on loan obligation. Rent payments was paid directly to M/s Reliance Infrastructure Finance Pvt Ltd as per Court Order.

b)Legal proceedings under-way for recovery of INR 66 Lakhs security deposit refund with Lessor in lieu of peaceful handover of office space.

New Office space in CoWrks, Aerocity

a)Assisted Bayer Real Estate team to shortlist, finalise and negotiate new Co-working office space of M/s CoWrks, in Aerocity with support from a global transaction service provider.

SUMMARY OF ACHIEVEMENTS OVER LAST 9 YEARS (Year 2009 – 2018)

ESH & Vehicle Safety 2009 – 2018

Sustained OHSAS 18001 from March 2002 for Mumbai Office facility.

Year 2009 - Changed Tata Victa (75 Nos) field vehicles to a safer Mahindra Bolero.

Year 2012 - Installed Vehicle Data Recorder in Tool-for-Trade Field Vehicles for compliance and deviation alerts of Vehicle Safety guidelines.

Received 2014 Global Safety & Health Award for implementation of “GPS Feedback System for Continuous Improvement of Vehicle Safety in India”

Year 2016-18 – Changed Bolero (300 Nos) to TUV300 with ABS and Airbags

CPMM (Collision Per Million Miles) reduced from 8.8 in Year 2009 to 3.3 in Year 2019.

Infrastructure & Rent Negotiation – Mumbai office.

Year 2009 - Completed refurbishment and re-designing of a fully functional B.U space of 32630 Sqft Mumbai Corporate Office with a budget of US$ 2 Million.

Year 2013 – Identified opportunity in a rapidly changing environment to re-negotiate a mid-term revision on commercials to save in excess of US$5Million over the remaining lease period.

Biotech/SSC/IT – B’lore (Mfar-Manyata Tech Park-Hebbal)

Year 2012 – Signed Built-to-Suit Agmt with Developer for Biotech in Mfar - Manyata Tech Park - budget of US$20 Million.

Year 2015 – Renegotiated the Built-to-Suit binding agreement with Developer due to change in Biotech LRP - saving in rent/reinstatement liability of US$9 Million plus litigation costs. Requirement of floor space area also reduced from 147K Sqft to 112K Sqft..

Year 2016 - Completed interiors of 112K Sqft in “concept to finish” time of 8 months, saving of US$ 275K on budget of US$4Million. Handed over 67000 Sqft of IT & Shared Services Office to lessors and recovered US$ 314K on Furniture & Fixtures (which otherwise would have been sold as scrap)

Year 2017 – relocated Mfar Office operations from 9th to 10th floor - saving of US$14K pm on costs.

Transformation Outcome

Year 2016 - Redeployed 43 Nos tool-for-trade field vehicles rendered surplus as a outcome of transformation exercise. - saving US$ 142K on foreclosure charges.

OTHERS

Year 2010 - Installed Vehicle Data Recorder – GSP enabled vehicle tracking device as a tool to inculcate safe driving in field employees. A global first within the Monsanto organisation anywhere in the world.

Year 2012 – Introduced HPCL Fuel Card for Field and Perquisite vehicle users - reducing fuel costs by INR 7 Lakhs per month for user base of 500 vehicles.

Year 2015 – Leased furnished 11,100 Sqft FarmRise (erstwhile Farmers First) office in Mumbai without brokerage, saving of US$ 34K. Also, negotiated early termination with no foreclosure charges even under lock-in.

Year 2015 - Executed ISPP Land Purchase of 11.12 acres in Duelgaon Raja (Jalna) - Maharashtra for Tomato production. Completed NA conversion, COE approval, and facility is now fully functional.

Year 2017 – Executed sale of Sonepat land parcel in a difficult micro-market.

Year 2017 - Executed GSPP land Purchase of 22 acres in Buldhana, Maharashtra, for 100% export oriented Tomato production. Also achieved NA conversion – a major milestone.
