Handling matters related to incorporation of company, farmer producer company, LLP etc, Fast Track exit route of company, conversion of status of company, change of registered office, name & object and change in Financial year of Company, drafting & alteration in MOA & capital, mergers, amalgamations, takeover, acquisitions, joint ventures, strategic alliances and due diligence etc., Statutory filing of E-Forms with Registrar of Companies,

Matters related to authorised & paid up capital, allotment of securities, Bonus & preferential Issue, preference shares, debentures, issuance & dematerialisation of securities with NSDL & CDSL, transfer and transmission of securities, appointment & cessation of directors & auditors, DIN and DSC, XBRL conversion, Petition to the Company Law Board for various matters,

Compliance of SEBI Listing Regulations, 2015, SEBI (Depositories & Participants) Regulations, 1996, PIT Regulations, (Intimation to Stock Exchanges), MSME & RBI filing, framing of policies as per Companies Act, 2013 and SEBI (LODR), Compliance of SAST Regulation, 2011 {Disclosures under Regulation 30 (1) and 30(2)}, SEBI SAST Regulations, 2011, FEMA 1999 and ROC matters.

Maintenance of statutory records registers as per Companies Act, 2013, preparing of agenda of Board & committees and filing various documents, forms and returns with MCA, RBI, NSDL, FIPB, SEBI and other authorities.

Reviewing of MIS, financial and legal information and interacting with internal & external agencies and authorities.

Legal Function

Responsible for all legal matters of labour, industrial, civil, high courts, Consumer/state forum, and representation of the and to ensure proper compliances with regulatory authorities, Courts, Tribunals etc.

Finalisation, reviewing, advising, and negotiating mutually agreeable terms and conditions for commercial contracts with customers, intermediaries, suppliers and other third parties, of various agreements like Joint Venture Agreement, MOUS, Due Diligence Agreement, Distributorship Agreements, Non-disclosure Agreement, Supply agreements, Advertisement agreements, General Purchase Agreements, Human Resource Consultancy Agreements, IT agreements, Brand shop Agreement, Public Relation agreements etc.

Formulation of various HR, Commercial, IT, Environmental & Legal Polices of the Company

Liaison with consultants/legal counsels, auditors, various govt authorities for cases under various Acts & statues, Consumer & Labour cases, Civil and Criminal and property related matters and appearance with them in respective Courts.

Submission of applications and obtain requisite approvals, licenses etc. to various govt departments such as Pollution Control Board, Legal Metrological, matters, Trade Marks Registrar, FIPB, RBI, DGFT, AEPC, TEXPROCIL and various Regulatory Authorities

Identifying risks and issues and suggesting alternatives that lead to the best solution for the Company to make risk assessment for commercial contracts

Advising management on business, and regulatory issues, legal and compliance matters.

Enforcing company intellectual property rights and brand protection through various activities such as the issuance of cease and desist letters.

Monitoring domestic as well international compliances and identifying areas presenting an elevated risk of non-compliance Investigating and making recommendations on various compliance-related issues.

Strategic Financial Functions

Organising necessary financial support from Banks/Financial Institutions for various expansion projects of the Company from time to time,

Execution of various consortium loan agreements, Debenture Trustee Agreement, private equity agreements; CDR agreements of the Company,

Team Management/MIS

Leading, mentoring & monitoring performance of team members to ensure efficiency in process operations,

Part of Management Team for HR evaluation team to create and sustaining a dynamic environment to foster development opportunities and motivates high performance amongst employees and workers,

Supervising the preparation of MIS reports to provide feedback to top management on HR, financial & other related areas.

Successfully handled public issue of group company Champion Cement Industries Ltd in 1992,

Played a key role in seamless financial restructuring of spinning unit at Indore and scheme of demerger/hive off it with processing unit at Surat during 2003-04,

Played a key role in merger/amalgamation of three group companies in one group company Vikram Financial Services Limited during 2006-07,

Engaged in tapping the capital market through IPO in 2006-07 and filed red herring prospectus with SEBI,

Actively involved in due diligence of private equity deal in 2006-07 with reputed international fund Baring Equity Asia at a good premium,

Actively involved in expansion projects of spinning, knitting, dyeing & garment facilities of the company along-with the gas based 6 MW power project and 4 MW HFO based power project of the company and instrumental in organising financial support & execution of various loan agreement, consortium agreement, equitable mortgage, indenture mortgage, debenture trustee agreement, private equity agreements with banks/financial institutions/investor through effective dealing at senior level for various expansion projects of the company since 1992.
