Commercial Contracts Manager -Americas Jan 2019- current

Successfully managing commercial biddings and contracting functions for North and South America for a technology company. It includes the response to RFPs, drafting and negotiating Master Services Agreements, bid preparation, teaming agreements, Memorandum of Understanding, NDAs, Joint Venture agreements, SaaS Agreements, Licensing Agreements, Technology Development Agreements Consultant Agreements, and Subconsultant, Subcontractor agreements, dispute settlements, and all other commercial and legal matters related to contracts spanning internationally including Europe, South America, Latin America. (a)Gulf Coast Ammonia (A Borealis Company)

As a member of the EPC project management team drafted and negotiated the terms and conditions of the EPC contract.

(b)PTT Global Chemicals America IPMT

As a member of the project management team took lead in drafting RFP for a billion-dollar lump sum EPC for a petrochemical project, assisted in negotiating terms and conditions, identification of risks, evaluation of commercial terms, and helped in making a recommendation for an award. Wrote and reviewed terms and conditions and scopes of work for this mega project in consultation with company management, technical team, and an external law firm.

(C) AMNI International Petroleum Company Limited

On an offshore topside project developed contracting policy, processes, procedures, local content plans, guidelines, and various plans for the procurement of equipment, materials, and services. Drafted Integrated Project Management Services Contract, Consulting Agreements, EPCM Contracts, and Procurement Contracts. Developed full Contracts and associated commercial documents to implement Contracting Plans. Ensured proper processes and procedures are in place to execute contracts. Formulated contractual and legal risk assessment and risk mitigation policies and standards for pre- and post-award subcontract management and forms for use by all on a major domestic and international project. Prepared negotiation plans and lead negotiations for various contracts.

(c)ExxonMobil Hebron Project

For more than three years on the multibillion Hebron Topside Project of Exxon Mobil, successfully negotiated several subcontracts terms and conditions, which were direct flow from Prime Contract. in accordance with company policies. Also, I managed a 60-million-dollar major Subcontract for transportation of a topside from South Korea to NFL, Canada. Managed other subcontracts, purchase orders, service agreements for nearly 100 in number. The total value of the Topside EPC was $ 6 billion. Managed post-award activities for subcontracts, contract obligations follow-ups, written notices, amendments, change orders, contract renewals, responses to and negotiations for the complex contractor and company claims.
