Chief Financial Officer

As the Chief Financial Officer with Orient Electric Ltd, a listed multi divisional (4 business verticals) company in FMCD segment, was responsible for leading the entire gamut of Finance & accounts from managing fund raising, M&A, investor relations to treasury, system & processes, corporate finance, accounts, plant accounting and cost control, finance

& accounting management, strategic planning, budgeting, GST, regulatory compliance, IT (including SAP

implementation), legal, investor relations and secretarial. I further undertook plethora of different responsibilities over the time as business restructuring through mergers and de- mergers, implementing SOP’s and financial control, Ind-As transition, GST implementation, development of MIS, compliances, internal controls, process development and control, risk analysis and management of risks and mitigation of risks, SAP/ BI implementation, improvement of ROI thru working capital management and business model to

maximize bottom line, managing total turnover of ~Rs.1700 Crores. I have also worked on right issue and listing of entity on NSE and BSE.

Managing some of the strategic initiatives such as integration of business, creating paperless working environment and diversification of business. I was able to develop structured and strategic partnership with Orient’s foreign partners. Teams of 4 BU Finance Controller, Treasury Head + Head of Taxation, IT head, Company Secretary and Head of legal were direct reportees. My direct reporting was to promoters and board.

In addition to finance team, company secretary and head of compliances function+ legal was reporting into CFO. Following were my key responsibilities as a CFO:

Financial & Management Accounting, Financial Reporting:

Managing and controlling accounts of corporate as well as multiple business units including 7 manufacturing plants.

Managing and controlling accounts of multiple

commercials and sales offices.

Ensuring timely preparation and analysis of financial statements viz. P&L Account, Balance Sheet and Cash Flow Statement for statutory reporting and monthly Management Accounts for internal reporting.

Managing MIS and Budgets at Corporate level for all BU’s and manufacturing facilities

Ensuring timely preparation of quarterly and annual results & financials as per SEBI LODR for listing

agreements with stock exchanges for approval of

Board of Directors.

Preparation and presentation of board presentation to BODs.

Ensuring compliances with Ind-As, I-GAAP for Indian reporting

Managing, reviewing and controlling costing for

Finished, semi-finished and WIP of manufacturing

plants and setting process for cost estimation.

Conceptualizing, implementing and supervising

financial reporting processes and compliance of

applicable accounting standards, MCA, ICAI and SEBI guidelines.

Ensuring timely preparation of Annual Operating Plan, budgets, analyzing variances with plan, monitoring product costing, recommending product volume mix

and pricing strategies to improve the ROCE.

Assessing Capex requirements, devising process for Capex costing and Budgeting. Reviewing IRR and Pay back for capital procurements.

Controlling the MIS at Corporate level for all SBU’s, ensuring timely preparation and submission of Monthly and Quarterly MIS and other Management reports for Management discussion and review.

Scrutiny of GL’s pertaining to all Assets, Liabilities, and Income & Expenditure.

Managing Forex operations i. e. Hedging, forward booking etc.

Development and control of system for reporting of Capital employed, ROCE and ROI at each SBU and

Corporate level. Monthly reporting and analysis of ROCE, ROI and Capital employed.

Managing timely statutory audits by statutory Auditors. Discussions on Audit observations.

Internal Financial Control for Financial Reporting

(IFCFR).

Financial control

Designing & implementing systems, policies &

procedures to facilitate financial control.

Development & Implementation of Funds Management system (budgetary control) through SAP to have check and control the expenses & procurements within the budgeted limits.

Instituting internal control systems for key areas, e.g. Receivables, Payables & Inventory as well as keeping a constant vigil over overhead expenses as per

industry best practices.

Controlling billing/invoicing, collections and payments for customer and vendors

Monitoring cash flows (inflow and outflow) within the pre-set cash budgets.

Treasury & Banking, Fund raising

Monitoring cash flows and ensuring that funds are arranged in the most cost effective and timely manner after projecting reliable forecast and timely long term funding for Capex.

Arranged funding of approx 800 crores during last 4-5 years at competitive rates.

Managing consortium of bankers including foreign bankers.

Arranging credit facilities for channel partners and vendors.

Optimizing utilization of working capital, arranging fund based and non-fund based bank facilities at

competitive rates as well as deployment of surplus funds.

Arranging Bank guarantees and letter of credits in normal course of operations.

Preparation of proposals for new Credit limits and enhancement of existing working capital limits.

Sourcing and arrangement of term loans for capex funding and business expansions.

Controlling and authorization of Vendor payments and migration to online payments from physical cheque in maximum cases.

Direct & Indirect tax

Ensuring compliance with Income Tax laws.

Handling corporate taxation and attending Income Tax assessment proceedings.

Taking care of transfer pricing documentation and audit, filing of TP return, valuation, assessment

proceedings and preparation of functional analysis of transactions subject to transfer pricing for International and domestic transactions.

Managing timely filing of Tax Returns and compliances with Tax Laws.

Implementation of GST and managing In-direct

taxation matters relating to GST and Customs.

Ensuring compliances with Tax Laws, timely filing for export benefits and follow up for refunds.

Compliances with FEMA requirements.

Commercial, Contracts

Working on tenders, preparing commercial exception and deviations to tenders, contract finalization with customers and back to back contracts with Sub-

Contractors.

Review and vetting of contracts.

Monitoring & Review of tender costing.

Monitoring formation of Zero budgets for new projects/ tenders.

Managing Insurance covers for Fixed Assets, Stocks, Marine & transit, projects and other assets of the company.

Filing, monitoring and settling of claims with Insurance companies.

Customer invoicing, collection, control and monitoring of Trade Receivables.

Managing secretarial and legal matters for Indian operation.

External customer relationship

Developing and managing relationships with statutory auditors (BIG 4) and top notch consulting agencies i.e. Mckinsey, BCG, Arthur Anderson etc.

Pro-actively handling investor relations by timely preparing and presenting various company update,

presentations and providing them their queries

Chief Financial Officer

As the Chief Financial Officer with InNow India Pvt Ltd, my responsibilities ranged from leading the entire gamut of finance & accounts including controllership, fund raising, corporate finance, consolidation of accounts, manufacturing accounting and cost control, finance & accounting

management to managing regulatory compliances, IT, legal and investor relations.

I further undertook various business expansion activities as manufacturing and EPC projects, development of MIS, compliances, internal controls, process development and control, risk analysis and management of risks and mitigation of risks.

I also had and opportunity to work with some of the top notch VC funds for fund raises wherein my tasks encompassed preparation of projections, preparation of investor’s presentation and presenting the same to investors. All this finally resulted in a successful fund raise of $50 million from VC/ PE firms.

During the short stint I was also involved in developing and managing strategic partnership with technology partners and managed to pull off 5 JVs with foreign partners by creating 5 different entities for smooth working of technology collaborations with foreign partners.

Also undertook to prepare SOPs and implementation of the same.

Being a partner in financial advisory domain, I have catered multiple clients providing services as due diligence (commercial and financials, post audit certification, taxation and transfer pricing advisory, restructuring and portfolio management.

AMD finserv is also involved in credit provisioning services, wherein we cater to the needs of corporate houses by arranging affordable finances from various NBFCs and banks.
