Carolina Narrow Fabric is family owned business manufacturing custom designed specialty textiles for the electrical, medical, automotive, aerospace, marine, industrial, military and liquid transport industries and markets. Responsibilities included management of all financial, corporate planning/development, human resources, administration, tax, treasury, legal liaison, employee benefits, and insurance. In addition, I assisted the Corporate Executive family members with personal cash flow projections, individual tax planning, estate planning and wealth management. Led the evaluation and ultimate purchase of major competitor in the medical industry. The transaction was finalized in June, 2018. Responsibilities included preparing proforma financial statements and return on investment models to facilitate acquisition negotiations and due diligence. Kingsdown, Incorporated was an Employee Stock Ownership Company (ESOP) founded in 1904 and was sold to a Private Equity Fund in April, 2018. Kingsdown provided premier bedding products to customers in the United States and twenty-five foreign countries. Responsibilities included all financial corporate planning/development, human resources, administration, tax, treasury, legal liaison, credit/collections, investor relations, employee benefits, banking relationships and insurance coverages (property and casualty lines and medical insurance).

• Improved month end financial reporting from fifteen business days to five business days utilizing the same number of employees in the accounting, administrative, human resource and information technology departments that were available when I arrived in 1997 while revenues increased almost 300%.

• Established foreign subsidiaries in Australia, Mexico, United Kingdom, Japan, Thailand and the Netherlands. Responsibilities for these subsidiaries include coordination with foreign accountants and attorneys of all accounting, financial reporting, tax, legal, employment matters, legal issues (contracts, registration of trademarks and intellectual property, etc.).

• Established new subsidiary, Kingsdown DIRECT, Inc. to be the corporation of Kingsdown’s retail expansion.

• Established and administered Kingsdown Charitable Foundation, Inc. to provide a private charitable organization for Kingsdown’s civic participation.

• Maintained effective communications with Board of Directors, stockholders, vendors and finance officers of Kingsdown’s major customers. Presented quarterly financial results to Board of Directors along with management discussion and analysis of operating results.

• Led efforts for two successful Internal Revenue Service audits, three North Carolina sales tax audits and one North Carolina Escheats audit resulting in minimal adjustments to the tax returns and resulting remittances to these departments.

STADLER’S COUNTRY HAMS, INC. – Elon, North Carolina 1993 – 1997 Chief Financial Officer

Responsibilities included all accounting, administration and information technology functions. Led efforts to convert all information technology from mainframe environment to Windows based platform. Assisted in the evaluation and ultimate purchase of major competitor including acquisition negotiations, due diligence, securing bank financing and integration of the acquired company’s systems and personnel to Stadler’s. In-house CPA for managing general insurance agency which provided insurance services and underwriting for the trucking industry. Additional duties included overseeing accounting and tax filing requirements for CEO’s financial interests in approximately fifteen different entities. KINDER-CARE LEARNING CENTERS, INC. (NASDAQ) – Montgomery, Alabama 1987 – 1991 Vice President/Controller/Treasurer 1990 – 1991

Kinder-Care was the largest daycare provider in the United States that cared for up to 130,000 children each day, nationwide. Responsibilities included managing accounting, treasury, investor relations, day care facilities’ leasing, SEC reporting and tax with a total department staff of approximately sixty-five individuals including ten CPA’s and two MBA’s. Assisted in the renegotiation efforts of $456 million dollars of defaulted debt including twenty-two banks and numerous bond holders. Assisted in the negotiation and sale of wholly-owned Canadian subsidiary – MiniSchools Canada, Ltd. Assisted in the 1991 merger of wholly owned subsidiary Sylvan Learning Corporation with Kee Systems of Baltimore, MD and served on the merged company’s board of directors in 1991.

PORTRAIT INDUSTRIES CORPORATION – Chesapeake, Virginia 1987 – 1990

(Wholly owned subsidiary of Kinder-Care Learning Centers, Inc.) Vice President – Finance

Assisted in the acquisition audit of Portrait Industries Corporation & Max Ward Delmar Studios, Inc. for Kinder-Care Learning Centers, Inc. These two companies were purchased by Kinder-Care and merged to provide photography for day care facilities across the continental United States and school portrait photography for elementary, junior and senior high schools along with yearbook publication in approximately five states. Responsibilities included managing accounting, information technology and liaison between subsidiary and parent. Led the efforts for Kinder-Care in the sale of Portrait Industries/Max Ward Delmar to Lifetouch Studios, Inc. (Minneapolis, MN) in February, 1990.
