Team Member Relationship Policy

Purpose

SCIS Air Security Corp. (“SCIS”) team members must carry out their duties in an impartial, objective, and effective manner. To that end, any personal or familial relationships between team members, which at SCIS’s sole discretion creates a conflict of interest or favoritism related to any employment practices, including but not limited to hiring, disciplining, promoting, or transferring, are strictly prohibited.

Scope

This policy applies to all SCIS team members.

Policy

SCIS is committed to employing and promoting team members based on objective business criteria, such as qualifications and merits. In order to prevent any conflicts of interest with regard to employment decisions and practices, the following restrictions shall apply:

(1) Close relatives, (2) partners, (3) those in a dating relationship or (4) members of the same household are not permitted to be in positions with a reporting responsibility to one another, whether directly or indirectly or interact in a way which in SCIS’s view creates a conflict of interest or the perception of a conflict of interest. Close relatives for the Team Member Relationship Policy are defined as the following: spouse, parent, parent-in-law, grandparent, child, son/daughter-in-law, uncle, aunt, nephew, niece, sibling, brother/sister-in-law, step relatives and cousins.

Individuals may not be hired, transferred, or promoted into a position that would create a conflict or perception of a conflict of interest as specified in this policy. If team members begin a dating relationship or become relatives, partners or members of the same household, and one party is in an administrative, managerial, supervisory, or leadership position, each of those team members has a responsibility to promptly inform local management and People Operations of the relationship. Provided that team members comply with the requirement to promptly notify People Operations or a member of management regarding a conflict of interest, the team members will be given an opportunity to resolve and eliminate the conflict of interest within a reasonable period of time, no later than 60 days. After 60 days, if the team members have not yet resolved the situation to SCIS’s satisfaction, the team members’ supervisor will work with People Operations to consider different options, such as a change in reporting structure, transfer or termination of employment, as appropriate for the specific situation. Any team member who fails to report a conflict of interest as required by this Policy, will not be given an opportunity to resolve the issue and may be subject to disciplinary action, up to and including termination. If any reorganization or changes in leadership results in a conflict of interest in reporting structure of team members with family or relationship ties, SCIS will strive to resolve the conflict of interest to the extent feasible by considering options for changes in reporting structure or transfer of employment within 60 days. During those 60 days, the leadership team member will not have involvement or direct input in the employment decisions of the other team member. If SCIS determines that it is not feasible to resolve the conflict of interest by retaining both team members, SCIS may offer either team member an opportunity to resign before taking any other actions. SCIS Air Security reserves the right to apply this policy to situations where there is a conflict or the potential for conflict because of the relationship between team members, even if no direct or indirect reporting relationship or authority is involved. In these situations, SCIS Air Security will inform the team members of the conflict and seek resolution within 60 days. Title Department Effective Revised Version

Team Member Relationship Policy Acknowledgement

The SCIS Air Security Corp. (“SCIS”) Team Member Relationship Policy requires all team members to keep SCIS apprised of any person with whom exists a personal or familial relationship that is employed by SCIS. Team members who are close relatives, partners, those in a dating relationship, or members of the same household are not permitted to be in positions with a reporting responsibility to one another, whether directly or indirectly or interact in a way which in SCIS’s view creates a conflict of interest or the perception of a conflict of interest.
