Re: Offer of Employment
Dear Steven,
Analogic Corporation, Inc. (“Analogic”) or the “Company”) is pleased to confirm its offer of full-time employment, for the role of Production Supervisor II reporting to Joe Semle, Manager – Security Manufacturing. This offer of employment is contingent upon the satisfactory completion of professional references and a background check prior to your start date. Your mutually agreed upon start date is to be determined. Your normal place of work will be at Analogic’s facilities located in Peabody, MA.
Salary and Benefits.
1. Salary: Your starting salary will be $120,000 payable bi-weekly in accordance with the Company’s normal pay schedule. All payments are subject to required tax withholdings. 2. Sign-on Bonus: You will be eligible to receive a hiring bonus in the amount of $5,000 - payable to you after 90 days of completed employment.
3. Benefits: You will be eligible to participate in the Company’s standard benefits program which includes medical, dental and life insurance, short- and long-term disability protection and participation in the Company’s 401(k) plan. The full range of benefits for you and your family is summarized in the enclosed Employee Benefits Summary. Where a particular benefit is subject to a formal plan (for example, medical insurance, 401(k)), eligibility to participate in and receive any particular benefit is governed solely by the applicable plan document.
Proprietary Information and Inventions/Non-Hire - Non-Solicit In order to protect the Company’s substantial investment of time and money in the creation and maintaining of its Proprietary Information and good-will with its customers, contacts, employees and contractors, you are required as a condition of employment, and continued employment, to execute the Analogic Corporation Proprietary Information and Inventions Agreement (the “Proprietary Information Agreement”), attached to this offer letter. The terms and conditions of the Proprietary Information Agreement will apply, regardless of any change in the nature of your duties, compensation or employment with Analogic (or any entity related to Analogic now or in the future). Also, during such employment with the Company and for a period of one (1) year thereafter, you will not solicit or hire any employee of the Company with regards to employment by any person or entity, nor recruit, attempt to recruit, hire, or attempt to hire any such Company Employee, or attempt to induce a Company Employee to terminate his or her employment with the Company. “Company Employee” shall mean for purposes of this provision any then-current employee or individual who was employed by the Company within the prior ninety (90) days. As we also have explained to you, just as Analogic regards the protection of our proprietary and confidential information as a matter of great importance, we also respect that you may have an obligation to your present and/or prior employers to safeguard the proprietary and/or confidential information of those companies. We respect these obligations, Analogic expects you to honor them as well. To that end, we expect that you have not (and will not) take any documents or other confidential or proprietary information from your employer that may have been entrusted to you, whether hard copy, electronic, or other form. Further, we want to make it perfectly clear you should not bring with you to Analogic or use in the performance of your responsibilities for our Company, any proprietary business or technical information, materials or documents of a former employer. We also remind you to return, and not retain, any and all property belonging to your former employer prior to your start date with Analogic.
Confirmation of Representations
You affirm that you have provided Analogic with any confidentiality or agreements that could restrict your right to be employed by Analogic or otherwise could restrict the scope of your activities on behalf of Analogic. Further, the Company is making this offer of employment based on your representations (oral and written) regarding your background and experience (including those pertaining to your education, training, qualifications, licensing and prior work experience) on all job applications, resumes or c.v.’s you have submitted to the Company and in any interviews or discussions you have had with the Company. By accepting this offer of employment, you specifically affirm that all information that you have provided orally and in writing is full, complete and accurate. Eligibility for Employment/Background Check/Other Conditions Your employment is conditioned on the following:
• The Immigration Reform and Control Act of 1986 (“IRCA”) requires that your employment eligibility be verified through appropriate documentation. This offer of employment is contingent upon your showing proof of your legal right to work in the United States as required by such IRCA.
• That you pass a pre-employment drug screening test. Details are enclosed.
• That you authorize and receive a satisfactory background check. If the complete results of the background check are not received by Analogic prior to the date when you commence employment at Analogic, Analogic reserves the right to terminate your employment on the basis of the results.
• That you understand and accept the requirements of our corporate policy governing conflict of interest. A copy of this policy is enclosed. Nature of Relationship; Choice of Law
While we are hopeful and confident that our relationship will be mutually rewarding, satisfactory and sustaining, your employment with the Company is at will, which means that both you and the Company remain free to end the employment relationship at any time and for any reason. Similarly, nothing in this letter shall be construed as an agreement, either express or implied, to pay you any compensation of any kind, or grant you any benefit, beyond the end of your employment with the Company. Your employment with the Company will be governed by the law of the Commonwealth of Massachusetts, unless you reside outside of Massachusetts and perform your duties for the Company outside of Massachusetts, in which case your employment will be governed by the state where you reside. This letter constitutes our entire offer regarding the terms and conditions of your employment by the Company and it supersedes any prior agreements, or other promises or statements (whether oral or written) regarding the offered terms of employment. Steven, we are very pleased to extend this offer of employment to you. We are confident that you will find your work assignments both interesting and challenging, and we all look forward to working with you.
