EMPLOYMENT OFFER LETTER

Dear Coretta Lawrence,

Sequel to your previous interview and due considerations, we are pleased to avail you a provisional offer of employment as (Assistant Manager) Your employment will commence 07/17/2023. As discussed during the interview, you will be working from home. Your appointment will commence after all your working materials are ready.

As our (Assistant Manager) you will be entitled to an hourly salary starting pay of $35.00 after two hours’ training and orientation payment of $15.00 per hour, which indicates the cost for your work with our Company. Regular performance review will be conducted to assess your performance and suitability. Your continued employment at SCA Health is dependent on your successful completion of the tasks that will be assigned by your supervisor. Your salary will be reviewed after a period of a month in which it will be increased by 18%. You will be entitled to all allowances and benefits whatsoever decided by the management. Your work employee manual will be coming alongside your working materials which you will purchase with the funds we will issue out to you.

In accepting our Job offer, you certify your understanding that your employment will be on an at-will basis. As an at-will employee, you will be free to terminate your employment with the Company at any time but with cause or advance notice. Likewise, the Company will have the right to re-assign you, to change your compensation or to terminate your employment at any time but with cause or advance notice.

Position:

Your initial title will be a (Assistant Manager) and you will initially report to your hiring manager while you render services to the company, your day-to-day activities will be assigned to you by your supervisor. You can still be engaged in any other employment, consulting or other business activity with (Full-Time) that would not create any conflict of interest with the company. By signing this letter agreement, you confirm to SCA Health that you have no contractual commitments or other legal obligations that would prohibit you from performing your duties for the company. You will be assigned a supervisor during the week and he or she will contact you via call for further briefing on your orientation, background check and training as well as assign you duties.

Cash Compensation: SCA Health will pay you a starting salary at the rate of $35.00 per hour after one week of training and $15.00 per hour for One week training, with an opportunity for a negotiation of an increase in pay after a month of commitment to work, payable in accordance with the Company's standard payroll schedule. You will be receiving your salary either via check or direct deposit. You will also be receiving a check to purchase your working materials, tools and complete your home office set up. You are expected to complete the set up within 2-4 days.

Employee Benefits: As a regular employee of SCA Health, you will be eligible to participate in Several SCA Health sponsored benefits. In addition, you will be entitled to paid vacation in accordance with the Company's vacation policy, as in effect from time to time. 10% taxes will be deducted from your salary monthly by the company (SCA Health).

Stock Options: Subject to the approval of SCA Health Board of Directors or its Compensation Committee, you will be granted an option to purchase 2 shares of SCA Health. Common Stock (Option). The exercise price per share of the Option will be determined by the Board of Directors or the Compensation Committee when the Option is granted. The Option will be subject to the terms and conditions applicable to options granted under the Company's 2012 Stock Plan (the "Plan"), as described in the Plan and the applicable Stock Option Agreement. You will vest in 25% of the Option shares after 12 months of continuous service, and the balance will vest in equal monthly installments over the next 36 months of continuous service, as described in the applicable Stock Option Agreement.

Employment Relationship:

Employment with SCA Health is for no specific period. Your employment with SCA Health will be "at will," meaning that either you or the Company may terminate your employment at any time and for any reason, with or without cause. Any contrary representations that may have been made to you are superseded by this letter agreement. This is the full and complete agreement between you and the Company (SCA Health) on this term. Although your job duties, title, compensation, and benefits, as well as SCA Health personnel policies and procedures, may change from time to time, the "at will" nature of your employment may only be changed in an express written agreement signed by you and a duly authorized officer of SCA Health (other than you)

Any Contrary representations that may have been made to you are superseded by this letter of agreement. This is the full and complete agreement between you and the Company on this term. Although your job duties, title, compensation, and benefits, as well as the Company's personnel policies and procedures, may change from time to time, the "at will" nature of your employment may only be changed in an express written agreement signed by you and a duly authorized Officer of the Company (other than you).

Your initial title will be (Assistant Manager). While you render services to the company, you can still be engaged in any other employment, consulting or other business activity that wouldn't create any conflict of interest with the Company. By signing this letter of agreement, you confirm to the Company that you have no contractual commitments or other legal obligations that would prohibit you from performing your duties for the Company. Working hours are flexible (weekends included) if you meet the stipulated deadline for each assignment.

Interpretation, Amendment and Enforcement: This letter of agreement is the complete agreement between you and the company, contain all the terms of your employment with the Company and supersede any prior agreements, representations or understandings (whether written, oral or implied) between you and the Company. This letter of agreement may not be amended or modified, except by an express written agreement signed by both you and a duly authorized officer of the Company.

You may indicate your agreement to these terms and accept this offer by signing and dating the agreement letter and returning it to the company. As required by law, your employment with the Company is contingent upon your providing legal proof of any of your identity ID card e.g., driver licenses
