EMPLOYMENT CONTRACT
This Employment Contract ("Agreement") is made and entered into on 16 February 2015, between Temba Ngwenya
("Employee") and Tunnel Engineering Pty Limited ("Employer"), a company registered in South Africa POSITION AND DUTIES
The Employer hereby employs the Employee as a HVACR Technician. The Employee shall perform all duties and responsibilities assigned by the Employer, which may include, but are not limited to: WORKING HOURS
The Employee will work for 9 hours per day doing day and night shifts, as required by the Employer. The Employee will work five (5) days a week, and the working schedule will be determined by the Employer. REMUNERATION
The Employee will be paid a monthly salary of R28,600.00. The salary will be subject to statutory deductions, including income tax, pension, and social security contributions, as required by law. PROBATIONARY PERIOD
The Employee's employment will be subject to a probationary period of three (3) months. CONFIDENTIALITY
The Employee agrees to maintain confidentiality of all information relating to the Employer's business, including trade secrets, customer lists, financial information, and any other confidential information obtained during the course of employment. The Employee acknowledges that any breach of confidentiality will cause irreparable harm to the Employer.
INTELLECTUAL PROPERTY
The Employee agrees that all intellectual property created by the Employee during the course of employment, including but not limited to inventions, patents, trademarks, copyrights, and trade secrets, shall be the sole property of the Employer.
NON-COMPETITION AND NON-SOLICITATION
The Employee agrees that during the course of employment and for a period of twelve (12) months following termination of employment, the Employee shall not directly or indirectly engage in any business or activity that is competitive with the Employer's business within the same geographic area. The Employee further agrees not to solicit any of the Employer's customers or employees for a period of twelve (12) months following termination of employment.
HEALTH AND SAFETY
The Employee shall comply with all health and safety policies and procedures of the Employer, including the use of personal protective equipment, reporting of any accidents or incidents, and participation in health and safety training programs.
ANTI-HARASSMENT AND ANTI-DISCRIMINATION
The Employer is committed to providing a work environment free of harassment and discrimination. The Employee shall comply with the Employer's anti-harassment and anti-discrimination policies and procedures. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of the republic. Any disputes arising out of or in connection with this Agreement shall be resolved by the courts of the Republic of South Africa. TERMINATION OF EMPLOYMENT
The Employer may terminate this agreement with notice of one month, or payment in lieu of notice, in the event of any of the following:
Breach of this Agreement by the Employee
Misconduct or gross negligence by the Employee
Redundancy or reorganization of the Employer's business Any other reason deemed just and sufficient by the Employer The Employee may terminate this agreement by providing one month's notice, or payment in lieu of notice, to the Employer.
ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties, whether written or oral, relating to the subject matter of this Agreement. This Agreement may not be amended except in writing signed by both parties. SEVERABILITY
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.
ASSIGNMENT
The Employee may not assign this Agreement or any rights or obligations hereunder without the prior written consent of the Employer. The Employer may assign this Agreement or any rights or obligations hereunder to any successor or assignee in connection with a merger, consolidation, sale of assets or business, or similar transaction. NOTICE
Any notice required or permitted under this Agreement shall be in writing and shall be deemed given (i) on the date of delivery if delivered in person, (ii) on the third business day following the date of mailing if mailed by registered or certified mail, postage prepaid, return receipt requested, or (iii) on the next business day if sent by email, provided that a confirmation of receipt is obtained.
