SUMMARY

Law school graduate and attended Georgetown Law Center LLM program for Tax and Securities’ laws. I have provided consulting services in hundreds of complex corporate, financial transactions and commercial litigation. Possess more than twenty (20) years of practical corporate transactional and commercial litigation experience. RECENT PRACTICAL EXPERIENCE

Over the last 10-15 years, I have been fortunate to represent some very affluent “Angel Investors” due to my practical experience and knowledge of finance, finance companies, and aspects of corporate law including the 1933 and 1934 federal Securities’ Acts, Blue Sky laws. Mergers and Acquisitions (M&A) and commercial litigation. I have prepared legal actions in over twenty-five (25) states from summonses to full-blown complex commercial complaints, preliminary and temporary injunctions. Very comfortable with complex commercial litigation in both domestic and international arenas. During my career, I have drafted just about every type of corporate and international commercial agreements/documents from the simple to the exceptionally complicated including offering materials such as PPM/s, S-1’s, S-18’s and a host of other ancillary documents including convertible debenture agreements, JV’s, stock option agreements, reverse merger agreements and much more. I have formed over (1,000) domestic and international entities (IBC’s) over the years.

2015-2024 STEPHEN L. O’BRYAN (Owner, O’Bryan Commodities Chicago, Il.) (Remote)

I have worked for the last nine (9) years for a wealthy individual by the name of Mr. Stephen O’Bryan who owns “O’Bryan Commodities” a very reputable firm in Chicago, IL. I assist in a myriad of various financial ventures and in legal matters. Specifically, the formation of suitable and practical investment entities, preparing Operating Agreements, By laws, complex corporate and loan agreements and much more. Mr. O’Bryan is also a very sophisticated “Angel Investor” who has and continues to invest in a plethora of both burgeoning and established companies. I also consult for him on a variety of complex commercial litigation matters and am responsible for drafting Complaints, Motions, Discovery and all ancillary pleadings associated with a multi-million-dollar legal actions as well as coordinating with outside Legal Counsel, intense legal and corporate research and much more.

2014-2021 PHULL HOLDINGS, LLC/aka Patrick M. Hull (Remote)

Patrick M. Hull became very wealthy by designing, developing and then selling “GetLoaded.com” (a trucking app) for almost $200 Million and was a prolific “Angel Investor.” For Information on Patrick Hull See: https://encryptedsensors.com/pat-hull

I had the pleasure of working directly for Mr. Hull for seven (7) years. Duties consisted of strategizing the best way to approach various investment opportunities and troubleshooting any investment proposals offered to PHULL HOLDINGS, LLC by individuals and companies seeking additional working capital. Responsibilities included forming entities, preparing all necessary legal documents for mergers and acquisitions, reorganizations, and investment agreements. Pat Hull and I were partners in PHULL Financial Solutions, LLC, that we formed to assist entrepreneurs with guidance and preparation of Private Placement Offering[s] (PPO’s) per Regulation D under Rules 504, 505 and 506 of the Securities Act of 1933. Duties also included extensive legal and corporate research and “thinking outside the box.” Unfortunately, Pat Hull died at an early age several years ago.

2012-2017 DAVID E. GEE TRUST (Remote)

I worked for David Gee who was another very active “Angel Investor” who was also very litigious. I negotiated numerous settlements on behalf of Mr. Gee. Duties. Formed a plethora of entities that were specifically designed for investment purposes, drafted by laws and numerous operating agreements. I also consulted for him on a variety of very complex commercial litigation matters and was responsible for drafting Complaints, Motions, Discovery and all ancillary pleadings associated with a multi-million-dollar legal actions as well as coordinating with outside Legal Counsel, intense legal and corporate research and much more. David is now retired.

2015-2019 LEGAL DEPARTMENT MANAGER U.S. PREVENTIVE MEDICINE, INC.

At USPM, Inc., Jacksonville, FL., I managed the Company’s Legal Department with ten (10) employees and coordinated with outside Legal Counsel. As Manager, reported directly to the Co-Chairman[s] of the BOD. Drafted all the documents required to successfully acquire USPM from the former owner, Mr. Christopher Fey. Instrumental in establishing a “new independent” Board of Directors. While managing USPM’s “Legal Department,” I was responsible for any and all corporate matters that ranged from BOD needs such as: Stock Option Agreements, Licensing Agreements particularly with QUALCOMM, preparation of additional offering materials, issuance of various classes of stock. Investor relations and assisting with shareholder requests, among other many other corporate duties.

ADDITIONAL BACKGROUND

Editor: Over the last twenty-five (25) years, I have worked Assistant Chief Editor for a daily international tax magazine, (Tax Analysts b/b/a Tax Notes) and was responsible for intense research of U.S. Treasury promulgations and U.S. Tax Court opinions among other legal tax materials. (1989-1992)

Tax Lobbyist: I have also worked as tax lobbyist for the American Truckers Assoc., Washington, D.C. and for the prestigious lobbying firm Liz Robbins Associates (Washington, D.C.). (1992-1997)

Assistant V.P. Legal and Banking: US Foreign Trade Institute Foreign Trade Institute. Spent over ten (10) years working with the U.S. Foreign Trade Institute in Miami, Florida directly with the CEO of the Institute, Mr. George Alessandria, where we worked with Top-50 World Banks on various international banking transactions on behalf of the Institute’s international clients. Owned several very successful financial and legal consulting firms that dealt with domestic and international financial banking and top 50 world banks.

CONCLUSION

I believe my practical experience, strong legal background and transactional experience will allow me to swiftly assist any employer in a myriad of ways. I have always been ambitious, and my clients always required responsibility, efficiency and multi-tasking. I can perform my responsibilities with minimal oversight/supervision.
