• To give notice of, attend, and keep a record of the proceedings for all meetings of (i) the members of the Association and (ii) its Board of Directors.

• To conduct and keep all correspondence of the Association and maintain all necessary records of membership.

• To maintain a permanent record of Bylaws. It shall be the responsibility of the Executive Director to write the Bylaws as directed, record their adoption date and properly index them.

• To provide for the execution of all orders, votes and resolutions of the Board of Directors not otherwise performed.

• To be responsible for the receipt and deposit of all moneys due the Association in the financial institutions approved by the Board of Directors, and to see that all accounts payable of the Association are paid promptly.

• To reconcile the monthly bank statements for all accounts and give accurate reports to the Board of Directors.

• To prepare and submit an annual budget of the Association for presentation to the Board of Directors, and cause to be kept full and accurate accounting of all receipts and disbursements in books belonging to the Association.

• To, as authorized by the Board of Directors, be responsible for retaining, supervising and maintaining the staff of the Association, including to fill vacancies, set salaries within job Janis R. Ferrante—2023

description and salary schedule parameters, and train, discipline, discharge, and assign work to staff personnel.

• To generally devote every effort to forwarding the business of and advancing interest in the Association.

• To promote membership in the Association by doing outreach to chiropractors around the state, hosting social and CE events and organizing the annual convention.

• To promote the Association to possible vendors and recruit affiliate businesses to show support for the Association.

• To recruit speakers and sponsors for events and the annual convention. To recruit other sponsors as needed to offset expenses and increase profitability of the events.

• To setup registration processes for events and convention through the Learning Management Software (LMS).

• To serve as a spokesperson for the Association within the membership and around the state to the entire profession.

• To assist the Association members as a consultant with questions on billing, coding (CPT

& ICD-10), policies and procedures that they might have for their chiropractic office.

• To help create PR materials and other communications regarding the Association and the events or activities as such.

• To work with the graphics company to produce a quarterly Journal publication by gathering articles, providing photos, and other logos, display ads or materials from the paid affiliates or others to create the Association publication.

• To write the Executive Director message for each journal -- quarterly publication that is distributed to the chiropractic profession in Oregon.

• To promote OCA social media including the website, forums and Facebook page. To post information timely regarding updates from OSHA, OHA, OBCE or other relevant agencies and any disseminate any news releases through the OCA Forums and social media.

• To perform such other duties as may be assigned by the Board of Directors from time to time or specifically described in an employment contract.
