On behalf of SLH VIR Manager, LLC (the “Company”), I am pleased to confirm the following offer of employment for the position of Certified Nursing Assistant (CNA) - Full Time starting on 06/12/2023. The following is a summary of the employment and compensation packages you are being offered: Your base salary will be $20.22 per hour.

Details of the position bonus/commission structure will be shared under separate cover, if applicable to the position. Any bonus/commission structure is subject to change or elimination at any time at the Company’s discretion.

You will be eligible for participation in the Company’s health, dental, vision, life insurance programs on the first day of the month following 60 consecutive days of employment. You may also participate in any voluntary benefit programs as determined by each plan’s eligibility requirements. All company benefits are subject to change or elimination at any time at the Company’s discretion. You may be eligible for paid time off benefits based on the Company benefit addendum. Enclosed is the Company benefit addendum outlining the paid time off benefits. All Company benefits are subject to change or elimination at any time at the Company’s discretion.

All employees are required to provide verification of their eligibility to work in the United States. The I-9 process requires physical presentation of specific documentation provided by the new hire. As a policy of the Company, we require that these documents be presented and verified on the first day of employment. Failure to present these documents will result in removal from scheduled shifts until completed. Attached is a document outlining the acceptable forms of documentation for your reference. You represent and warrant that the information you supplied to the Company in connection with your application for employment with the Company is true, correct, and complete, and that the Company is relying on the truth, accuracy, and completeness of that information. You recognize and agree that falsification of, or omission of information from, your application may result in the immediate termination of your employment. This offer, as stated, is contingent upon the successful completion of a background verification, negative pre-employment drug screen and motor vehicle record checks on positions for which driving a motor vehicle is an essential job function. During the course of your employment with the Company, you will learn about, help develop, and be entrusted with trade secrets and confidential information about the company and its affiliated and related entities (the Company and such entities being hereinafter referred to as the “Companies”), their operations, financial conditions, personnel, policies, residents, strategic plans, and other aspects of the companies and their business and operations (all of the foregoing trade secrets and confidential information being hereinafter collectively referred to as the “Confidential Information”). Unless the confidential information becomes publicly known through legitimate origins not involving an act or omission by you, you shall not now, nor at any time in the future, use for your own benefit, or for the benefit of any other person or entity, and shall not disclose, directly or indirectly, to any other person or entity, any of the confidential information, except as expressly authorized in the proper performance of your duties for the company. You warrant that you are not a party to any non-competitive agreements or any confidentiality agreements, which would restrict you from working with the Company. While you are employed at the Company, you will not engage in any other employment, consulting or other business activity (whether full-time or part-time) that would create a conflict of interest with the Company. You warrant that you have no contractual commitments or other legal obligations that would prohibit you from performing your duties for the Company. If you are a party to any said agreements, you agree to indemnify the Company for any loss, damage or claims with respect thereto.

Like all employees of the Company, your employment with the Company shall be terminable at will. Nothing in

(a) this offer, (b), the compensation package set forth above, (c) any conversations, you had prior to this offer, or

(d) any handbook, manual, or other publication, communication, practice or policy of the Company alters, amends or in any way changes your employment-at-will relationship with the Company. For a one-year period following your separation from employment with the Company, for any reason, you hereby agree that you shall not directly or indirectly solicit for employment, employ or otherwise retain the employees of the Company or any of its affiliates as an employee, independent contractor or otherwise without the prior written consent of the Company. Additionally, for a one-year period following your separation from employment with the Company you hereby agree that you shall not directly or indirectly solicit any resident of Companies or active prospect for residency at Companies for residency at any other seniors housing community without the prior written consent of the Company The parties hereto agree that damages may not adequately compensate the Company (or its affiliates) for a breach of this paragraph and that, in addition thereto, the Company shall be entitled to injunctive relief in addition to all other remedies. All terms and conditions in a previous employment offer letter, if applicable, are null and void.
