o Advised $4 billion of secured lenders in the largest pre-packaged bankruptcy ever completed in 30 days. 100% equitization of secured loan even with large presence of CLO funds. o Ran strategic alternatives that included an M&A process, alliance discussions with competitors, and management interviews that resulted in a reconfigured standalone strategy and replacement of executive management team. o Built a bottoms-up financial projection model detailing revenue streams (theatrical, home entertainment, television, digital etc.) by geography utilizing avails, licensing fees, and home video trends data, among others. o Advised an ad hoc group of noteholders comprising $6 billion of aggregate debt throughout the capital structure. The consensual deal negotiated between key creditors and Paul Allen preserved tax assets and reinstated approximately $11 billion of senior debt at favorable credit terms while reducing total debt by $8 billion. o Performed multiple restructuring scenarios under various valuation multiples, leverage profiles, and operational sensitivities to determine the impact on value allocation, recoveries, and IRRs to the various constituents. o Advised senior lenders in a contentious bankruptcy with the company’s private equity sponsor to structure a bid with 3rd parties, and prepared expert witness testimony to prevent a below market sale to a strategic buyer. o Conducted profitability analyses of over 150 sites to identify stores for sale, liquidation, or lease rejection to maximize value for stakeholders; resulted in senior debt par recovery (trading below 50% of par at time of filing).
